INDIAN RIVER COUNTY <br /> PUBLIC WORKS DEPARTMENT <br /> RENEWAL AND AMENDMENT NO. 1 TO AGREEMENT FOR ANNUAL PROFESSIONAL GEOTECHNICAL <br /> ENGINEERING SERVICES BETWEEN DUNKELBERGER ENGINEERING &TESTING, INC. AND INDIAN RIVER <br /> COUNTY, FLORIDA <br /> This is a Renewal and Amendment No. 1 to the Agreement for Annual Professional Geotechnical <br /> Engineering Services dated September 23, 2014 between Dunkelberger Engineering & Testing, Inc. <br /> (GEOTECHNICAL PROFESSIONAL) and Indian River County, a political subdivision of the State of Florida, <br /> 180127 th Street, Vero Beach, Florida, 32967 (COUNTY). <br /> WHEREAS, the Parties entered into an Agreement for Annual Professional Geotechnical Engineering <br /> Services(Master Agreement) dated September 23, 2014; and <br /> WHEREAS, Section III—SCOPE OF SERVICES, Item No. 5 provides for the compensation for basic <br /> services to the GEOTECHNICAL PROFESSIONAL; and <br /> WHEREAS, Section VIII of the Master Agreement provides for PAYMENTS and the Parties desire <br /> to amend the Master Agreement to reflect payments made by the County on a monthly basis; and <br /> WHEREAS, Section XIII of the Master Agreement provides for GEOTECHNICAL PROFESSIONAL'S <br /> PERSONNEL ASSIGNED TO THE PROJECT and the Parties desire to add to the Master Agreement; and <br /> WHEREAS, Section XVII of the Master Agreement provides for the DURATION OF AGREEMENT <br /> and the parties desire to renew the Master Agreement for one additional two year term; and <br /> WHEREAS, Section XXIV of the Master Agreement provides for PUBLIC RECORDS COMPLIANCE <br /> and the Parties desire to amend the Master Agreement; <br /> NOW, THEREFORE, in consideration of the following mutual covenants and agreements Indian <br /> River County, Florida and GEOTECHNICAL PROFESSIONAL agree as follows: <br /> 1. The Agreement for Annual Professional Geotechnical Engineering Services dated September 23, <br /> 2014 is amended as follows: <br /> Section III —Scope of Services— Item No. 5 shall read as follows: <br /> 5. Compensation to the GEOTECHNICAL PROFESSIONAL for basic services shall be in <br /> accordance with each Work Order, as mutually agreed upon by the <br /> GEOTECHNICAL PROFESSIONAL and the COUNTY.
