evidence of those persons authorized to disburse <br />Customer funds as described in (axiu) and (b)(iv) <br />above; (ii) that upon Bank's request, Customer will <br />certify its compliance with (a) or (b), as applicable, <br />on an aminal or other periodic basis; and (iii) that <br />Customer will provide notice to Bank if any person <br />authorized to disburse Customer funds as described <br />in .(a)(iii) and (b)(iv) is no longer so authorized or <br />his/her position of such authority is terminated for <br />any reason. <br />3. Effectiveness. Customer agrees to all the terms <br />arid conditions of this Exhibit. The liability of Bank under <br />this Exhibit shall in all cases be subject to the provisions of <br />the Cash Management Master Agreement, including, <br />without limitation, any provisions thereof that exclude or <br />limit warranties made by, damages payable by or remedies <br />available from Bank.
