liability, cost, expense, action or cause of action whatsoever <br />that the Company, any Cardholder, or any third party now <br />have or may hereafter have or threaten against any member of <br />the TD Group, or to which any member of the TD Group may! <br />become subject, arising out of or relating to this Agreement, <br />including, but not limited to, (i) actions taken by TD upon the <br />instructions of the Company or any Authorized User, (ii) any <br />maintenance activity performed by any member of the <br />Company Group or by any other person (other than an <br />employee or agent of TD) using a Company Access Code; <br />provided, however, that Company shall not be liable for <br />unauthorized use of a Company Access Code after they <br />Company provides notice to TD that the Access Code has' <br />been Lost, stolen or compromised, and TD has has a reasonable <br />opportunity to act on such notice, or (iii) any Unauthorized, <br />Transaction resulting from the use of the Card or Account <br />prior to (and with respect to pending Transaction; <br />authorizations) on or after the effective time of a request for <br />cancellation or termination of a Card or Account (as provided <br />in Sections 2.5(e) and (f) above). The Company shall not be <br />liable for Unauthorized Transactions which are authorized <br />after TD receives notice as provided in accordance with <br />Sections 2.5(e) and (f) above, and TD has had a reasonable'' <br />opportunity to act on such notice; provided, however, that the <br />notice relates to the Card or Account used in connection with' <br />such Unauthorized Transactions. <br />This provision shall be only to the extent allowed by and <br />within the limits of liability provided by section 768.28, <br />Florida Statutes, and shall not otherwise be deemed a waiver <br />of Customers sovereign immunity. <br />6.20 OTHER WAIVERS BY COMPANY. To the <br />extent otherwise applicable, the Company waives notice of <br />intent to accelerate, notice of acceleration, and all other <br />notices, consents to any renewals or extensions of time of <br />payment, and generally waives all suretyship defenses and <br />defenses in the nature thereof. <br />6.21 COUNTERPARTS.
