This Reimbursement Agreement embodies the whole agreement of the parties. There are no promises, terms, <br /> conditions, or obligations other than those contained herein, and this Reimbursement Agreement shall supersede all <br /> previous communications, representations, or agreements, either verbal or written, between the parties hereto. The terms <br /> and conditions herein, whether general or specific, shall take precedence over and supersede any inconsistent or <br /> conflicting provision in any attached terms and conditions. <br /> 21. It is understood and agreed by the parties hereto that if any part, term, or provision of this Reimbursement <br /> Agreement is by the courts held to be illegal or in conflict with any law of the State of Florida, the validity of the remaining <br /> portions or provisions shall not be affected, and the rights and obligations of the parties shall be construed and enforced <br /> as if the Reimbursement Agreement did not contain the particular part, term, or provision held to be invalid. <br /> 22. Any questions or matters arising under this Reimbursement Agreement as to validity, construction, enforcement, <br /> performance, or otherwise, shall be determined in accordance with the laws of the State of Florida. <br /> 23. Venue for any and all actions arising out of or in any way related to the interpretation, validity, performance or <br /> breach of this Agreement shall lie exclusively in a state court of appropriate jurisdiction in Leon County, Florida. <br /> 24. In any legal action related to this Reimbursement Agreement, instituted by either party, the Local Government <br /> hereby waives any and all privileges and rights it may have under Chapter 47 and Section 337.19, Florida Statutes, <br /> relating to venue, as it now exists or may hereafter be amended, and any and all such privileges and rights it may have <br /> under any other statute, rule, or case law, including, but not limited to those grounded on convenience. Any such legal <br /> action may be brought in the appropriate Court in the county chosen by the Department and in the event that any such <br /> legal action is filed by the Local Government, the Local Government hereby consents to the transfer of venue to the <br /> county chosen by the Department upon the Department filing a motion requesting the same. <br /> 25. The parties hereby agree to bear their own attorney's fees and costs with respect to this Reimbursement <br /> Agreement. <br /> 26. The parties hereby agree and covenant that this Reimbursement Agreement is binding on the parties, their heirs- <br /> at-law, and their assigns and successors in interest as evidenced by their signatures and lawful executions below. <br /> 27. A modification or waiver of any of the provisions of this Reimbursement Agreement shall be effective only if made <br /> in writing and executed with the same formality as this Reimbursement Agreement. <br />
