either party from performing any act or not performing any act as either may be required by statute, <br />court decision, or other authority having jurisdiction thereof. <br />22. SURVIVAL OF REPRESENTATIONS. WARRANTIES AND INDEMNITY <br />Notwithstanding anything to the contrary, any representations and warranties contained herein shall <br />survive termination of this Agreement for the full period of any applicable statute of limitations <br />that may apply to this Agreement. Further, the party making any representation or warranty shall <br />notify the other party in writing within five (5) business days of any representation or warranty that <br />is no longer valid. Notwithstanding anything to the contrary, any indemnity provisions contained <br />herein shall survive the termination of this Agreement for the full period of any applicable statute <br />of limitations that may apply to this Agreement. <br />23. ATTORNEYS' FEES <br />Each party agrees that in the event of a claim, arbitration, or lawsuit filed by a party to this <br />Agreement, each party shall be responsible for its own attorneys' fees and/or any costs or expenses <br />related to the bringing or defense of any such claim, arbitration, or lawsuit. <br />24. HEADINGS <br />The headings of articles, paragraphs, and sections in this Agreement are included for convenience <br />only and shall not be considered by either party in construing the meaning of this Agreement. <br />25. NOTICES <br />All notices and demands to, be given udder this Agreement by one party to another shall be given <br />by certified or United States Mail, addressed to the party to be notified or upon whom a demand is <br />being made, at the addresses set forth in this Agreement or such other place as either party may, <br />from time to time, designate in writing to the other party.
