Institutional Claims - $11; and Professional Claims - $5. <br />These charges are subject to change at any time without further notification <br />to the Employer. <br />SECTION IV <br />TERMINATION <br />4.1 Administration After Termination. <br />The Employer is solely liable and responsible for all claims incurred under <br />the Group Health Plan by its covered group members and their dependents <br />during the term of this Agreement, including those incurred claims which <br />are not presented to the Employer or the Administrator during the term of <br />this Agreement. The Administrator will adjudicate all claims incurred during <br />the term of this Agreement. For purposes of this Agreement, the date of an <br />incurred claim is the date the particular service was rendered or the supply <br />was furnished. After the effective date of termination of this Agreement, the <br />Employer will continue to provide the Administrator with funds to pay claims <br />incurred prior to the termination date and will continue to pay the applicable <br />administrative fees as set forth in Exhibit "B". <br />4.2 Unilateral Termination <br />The Employer or the Administrator may unilaterally terminate this <br />Agreement upon 90 days prior written notice to the other after the initial <br />term of this Agreement. <br />4.3 Termination On Anniversary Date. <br />This Agreement shall automatically terminate as of the date of any <br />anniversary of the effective date of this Agreement, if either the Employer or <br />the Administrator has given at least 30 days prior written notice to the other <br />of its intention not to renew this Agreement as of that anniversary date. <br />4.4 Termination Upon Default. <br />Upon the occurrence of any of the following events, as determined by the <br />Administrator, this Agreement will automatically terminate at the end of the <br />8th business day following the day upon which the Employer is notified of <br />any of the events of default set forth hereunder, and then only in the event <br />that the Employer has not cured the incident of default: <br />960904.1 7 <br />233 <br />
