AGREEMENT FOR CANCELLATION OF CONTRACT This Agreement for Cancellation of Contract, hereinafter "Agreement for Cancellation" dated this day of March, 2015 made by and between Indian River County, a political subdivision of the State of Florida, hereinafter "County", whose mailing address is 1801 27th Street, Vero Beach, FL 32960 and TSI Disaster Recovery, LLC, a Florida limited liability company, hereinafter "TSI", whose mailing address is 4130 Canoe Creek Road, St. Cloud, FL 34772. WITNESSETH: WHEREAS, the County advertised via the public bidding process for qualified companies to submit bids for a project entitled: "Removal of Fill from the Indian River Aquatic Preserve and Restoration of Head Island, Project No. 2015015"; and WHEREAS, TSI responded and was selected the lowest and most responsive, responsible bidder by the Board of County Commissioners on and entered into an Agreement to perform the work dated December 16, 2014 "Agreement"; and WHEREAS, TSI proceeded to mobilize their equipment to the site, remove exotic species from Head Island and install siltation control pursuant to the Agreement; and WHEREAS, circumstances have arisen such that the parties agree to terminate the December 16, 2014 Agreement with TSI being paid for work performed; and WHEREAS, the County is satisfied the work performed by TSI and the cancellation is of this Agreement is due to unforeseen circumstances and not for cause or breach of the Agreement. NOW THEREFORE, the County, and TSI, for the considerations hereafter set forth, agree as follows: 1. The above recitations are true and incorporated herein. 2. The Agreement between TSI and County dated December 16, 2014 is hereby canceled by mutual agreement of the parties. 3. TSI shall be paid the sum of $31,499.00 in full and final satisfaction for the satisfactory work performed in accordance with the Agreement. Signatures On Following Page ATTACHMENT 5 197
