(4) Upon completion of the contract, transfer, at no cost, to the County all public records in <br />possession of the Consultant or keep and maintain public records required by the County to <br />perform the service. If the Consultant transfers all public records to the County upon completion <br />of the contract, the Consultant shall destroy any duplicate public records that are exempt or <br />confidential and exempt from public records disclosure requirements. If the Consultant keeps and <br />maintains public records upon completion of the contract, the Consultant shall meet all applicable <br />requirements for retaining public records. All records stored electronically must be provided to <br />the County, upon request from the Custodian of Public Records, in a format that is compatible <br />with the information technology systems of the County. <br />B. IF THE CONSULTANT HAS QUESTIONS REGARDING THE APPLICATION OF <br />CHAPTER 119, FLORIDA STATUTES, TO THE CONSULTANT'S DUTY TO <br />PROVIDE PUBLIC RECORDS RELATING TO THIS CONTRACT, CONTACT THE <br />CUSTODIAN OF PUBLIC RECORDS AT: <br />(772) 226-1424 <br />pubiicrecords@ircgov.com <br />Indian River County Office of the County Attorney <br />180127 th Street <br />Vero Beach, FL 32960 <br />C. Failure of the Consultant to comply with these requirements shall be a material breach of this <br />Agreement. <br />9.07 Entire and Sole Agreement <br />A. Except as specifically stated herein, the Agreement Documents constitute the entire agreement <br />between the parties and supersede all other agreements, representations, warranties, <br />statements, promises, and understandings not specifically set forth in the Agreement Documents. <br />Neither party has in any way relied, nor shall in any way rely, upon any oral or written agreements, <br />representations, warranties, statements, promises or understandings not specifically set forth in <br />the Agreement Documents. <br />9.08 Amendments <br />A. The parties may modify this Agreement at anytime by written agreement. Neither the Agreement <br />Documents nor any term thereof may be changed, waived, discharged or terminated orally, <br />except by an instrument in writing signed by the party against which enforcement of the change, <br />waiver, discharge or termination is sought. <br />9.09 Construing Provisions <br />A. This Agreement shall not be construed against the party who drafted the same, as both parties <br />have obtained experts of their choosing to review the legal and business adequacy of the same. <br />In any conflict between Exhibit 1, Scope of Services, and the general terms of this agreement, the <br />provisions of the latter shall prevail. <br />9.10 Independent Consultant <br />A. CONSULTANT is an independent Consultant. Neither Consultant nor Consultant's employees are <br />employees of the City. Consultant may perform services for others, which solely utilize <br />5 <br />
