3. Is there a quorum requirement for Board members attendance at your agency board meetings? <br />Yes, the quorum requirement is stipulated in the by-laws indicating that "One-third of the total <br />number of Directors at the time in office shall constitute a quorum for the transaction of business <br />at any meeting" Currently there are 19 members on the 211 Palm Beach/Treasure Coast Board of <br />Directors. In the last 15 years, we have only had two meetings that did not have a quorum. <br />4. Please explain the rotating volunteer structure of your Board members and officers. <br />The by-laws do not stipulate a rotation of members but indicates that board members serve three <br />year terms. We have found that through natural attrition we lose board members, and, therefore, <br />generally have 50% members who have 5 or less years of service and 50% who have over 5 years <br />of service on the board of directors. <br />In relation to the officers, generally the Chair serves two one year terms with elections occurring <br />annually in June. The Vice Chair generally moves into the chairmanship after the two one-year <br />terms of the Chair. <br />D. Finances <br />1. Does your Board approve the annual budget and review regular financial reports of the operating budget <br />ana capital runas:' How often is this review conducted? <br />The Finance and Administration Committee of the Board reviews the development of the annual <br />budget and approves the proposed budget which is then presented by the Committee's Chairman <br />to the entire Board of Directors for their approval in June or July of each year. The Board of <br />Directors receives monthly financial reports at board meetings, which take place every other <br />month and formally accepts the reports as noted in the meeting minutes. <br />2. Does any outside organization (such as a governmental unit) conduct periodic evaluations of the <br />agency's finances, management or programs? If yes, list the agencies. <br />Many of our funding agencies conduct periodic evaluations. Of particular note are: <br />Southeast Florida Behavioral Health Network <br />Palm Beach County Community Services <br />United Way of PBC <br />Children's Services Council of St. Lucie County <br />Children's Services Council of Martin County <br />3.
