arranged by Verotown or any other MLB Entity. Moreover, the County's use of Holman Stadium <br />and/or the practice fields must not interfere in any way with Verotown's use and quiet enjoyment <br />of the Facility. The County will not use or authorize the use of Holman Stadium and/or the <br />practice fields in any manner which would have a material detrimental impact on Holman <br />Stadium and/or the practice fields, and the County will be and remain solely responsible for any <br />damage or destruction to Holman Stadium and/or the practice fields by the County or its <br />assignee. The County, or its assignee, is entitled to retain the revenues from ticket sales for its <br />events, and concessions sold during the events when Holman Stadium and/or the practice fields <br />are utilized by the County; provided, however, that although Verotown covenants to cooperate <br />with the County in such endeavors, Verotown will not be required to provide concession <br />management services and/or any other related services during any County event. In all cases, <br />Verotown will be reimbursed by the County for any operating costs and expenses incurred by <br />Verotown as a result of the County's use of Holman Stadium and/or the practice fields, including. <br />but not limited to, the cost of any parking attendants, ticket takers, security personnel, clean-up <br />crews, pro -rata utility cost, and the like provided by Verotown. Prior to using Holman Stadium <br />and/or the practice fields as provided herein, the County shall cause Verotown to be named as an <br />additional insured on the County's general liability insurance policy and shall deliver to <br />Verotown a certificate of insurance which verifies the existence of the policy and the fact that <br />Verotown is named as an additional insured. <br />Section 6.05. Parking. <br />(a) The City Parking Property is owned by the City, subject to the terms and <br />conditions of the Parking License Agreement, and the Facility Parking Property is owned <br />by the County. Verotown has the right to use the City Parking Property for Verotown <br />Events in accordance with the terms and conditions of the Parking License Agreement. <br />(b) Verotown and the County acknowledge that the right to use the City <br />Parking Property for Verotown Events could be terminated by the City in accordance <br />with the terms and conditions of the Parking License Agreement. In such event, <br />Verotown and the County agree that the Facility Parking Property shall be available to <br />Verotown at all times during the Initial Term and any Renewal Term be used for parking <br />purposes relating to its use and operation of the Facility. For Verotown Events that take <br />place in Holman Stadium where parking demands exceed capacity of the Facility Parking <br />Property, upon thirty (30) days prior written notice, the County will provide two thousand <br />(2,000) parking spaces for the designated Verotown Event at no additional cost to <br />Verotown; provided, however that no athletic fields shall be used towards the additional <br />parking spaces. The County acknowledges that for certain potential Verotown Events, it <br />may not be practicable for Verotown to provide thirty (30) days prior written notice of <br />the need for additional parking capacity. In such event, Verotown shall notify the County <br />of its need for additional parking as soon as reasonably practicable and the County shall <br />use its best efforts to accommodate Verotown's request, with the understanding that <br />Verotown may not be able to host a Verotown Event at the Facility unless the County can <br />provide adequate additional parking at an acceptable location to Verotown within the <br />shorter time frame provided by Verotown. Unless the Facility is being utilized as an <br />emergency staging area pursuant to section 6.06, the County acknowledges and agrees <br />15 <br />
