damages against the condemning authority for its loss of its interest under this Agreement, <br />or any portion thereof, caused by such taking, together with damages based on the value of <br />the Verotown Improvements not purchased or reimbursed by County Funds, any additional <br />improvements performed at Verotown's expense, any Verotown Equipment not purchased <br />or reimbursed by County Funds, personalty or other FF&E not purchased or reimbursed by <br />County Funds, and the damages Verotown may sustain to its operations on or at the Facility, <br />including, but not limited to, an award for the use of any temporary construction easement <br />area on the Facility, good will, patronage and the removal, relocation and replacement costs <br />and expenses caused by such taking. <br />ARTICLE XVI <br />ADDITIONAL IMPROVEMENTS <br />Section 16.01. Additional Improvements. Nothing contained in this Agreement will <br />restrict or prohibit Verotown from making improvements to the Facility which are not described <br />as Verotown Improvements in this Agreement; provided that Verotown will notify the County of <br />such additional improvements before Verotown undertakes to make them, obtain the County's <br />prior written consent to such improvements, which shall not be unreasonably withheld, <br />unreasonably conditioned or unreasonably delayed and complies with Section 8.06 of this <br />Agreement. <br />ARTICLE XVII <br />ZONING AND PERMITTING <br />Section 17.01. Zoning and Permitting_ It is the sole obligation of Verotown, with <br />assistance from the County, but not at County expense, to obtain any permits and/or zoning <br />changes which may be required to construct any improvements which Verotown may hereafter <br />desire to make to the Facility. The County, acting solely in its capacity as the fee owner of the <br />Land, shall cooperate with Verotown as may be reasonably required, to enable Verotown to <br />obtain any permits and/or zoning changes for the Improvements and any additional <br />improvements, including, but not limited to, by joining in any applications for such permits <br />and/or zoning changes. The County hereby represents to the best of its knowledge that the Land <br />is currently zoned for the intended uses set forth in this Agreement. <br />ARTICLE XVIII <br />CONSENTS AND APPROVALS <br />Section 18.01. Granting or Failure to Grant Approvals or Consents. All consents and <br />approvals which may be given by a party under this Agreement will, as a condition of their <br />effectiveness, be in writing. The granting by a party of any consent to or approval of any act <br />requiring consent or approval under the terms of this Agreement, or the failure on the part of a <br />party to object to any such action taken without the required consent or approval, will not be <br />38 <br />
