(f) Obtain and maintain the insurance further described in Section 14.05, <br />which shall list the County as an additional insured for any policies relating to <br />Verotown's use and operation of the Facility. <br />(g) Set rates and charges for the use of the Facility by third parties; <br />(h) Advertise and promote all baseball and non -baseball events conducted at <br />the Facility, such advertising and promotion to mention or identify the County and/or the <br />City to the extent practicable (Verotown understands the importance of promoting the <br />County and the City and their image and desire and agree to assist in such regard); <br />(i) Select and employ all concessionaires, licensees and other contractors with <br />respect to the Facility, including, but not limited to, its parking lots, concession areas, and <br />advertising space; and <br />0) Enter into lawful contracts in Verotown's name relating to any and all of <br />the foregoing upon terms and conditions which are consistent with the Maintenance <br />Standards and the terms of this Agreement. <br />Section 3.03. Event Control. Verotown has the right, at its sole discretion, to cancel or <br />postpone any event to be held at the Facility. <br />Section 3.04. Books and Records. Verotown and the County acknowledge that certain <br />information and data relating to this Agreement may be public records in accordance with <br />Chapter 119, Florida Statutes. Verotown agrees that it will implement policies and procedures to <br />maintain, produce, secure, retain, and transfer public records in accordance with applicable laws, <br />and regulations, including Sec. 119.0701, Florida Statutes. Verotown agrees to provide the <br />County with a copy of all requested public records or to allow any public records to be inspected <br />or copied within a reasonable time. Verotown agrees to charge any third parties requesting public <br />records only such fees allowed by Section 119.07, Florida Statutes, for locating and producing <br />public records during the term of this Agreement. Upon the expiration of this Agreement, <br />Verotown shall transfer, at no cost, to the County all public records in the possession of <br />Verotown or keep and maintain any public records required by the County. If Verotown transfers <br />all public records to the County upon the expiration of this Agreement, then Verotown shall <br />destroy any public records that are exempt or confidential and exempt from public records <br />disclosure requirements. If Verotown keeps and maintains public records upon the expiration of <br />this Agreement, then it will meet all applicable requirements for maintaining any public records. <br />All records stored electronically must be provided to the County upon request in a format that is <br />compatible with the information technology systems of the County. Nothing in this Section <br />3.04 is intended to suggest that all records related to the Facility would be public records or that <br />this Agreement is subject to Section 119.0701, Florida Statutes. Verotown and the County shall <br />cooperate to ensure that any records that are confidential and exempt from public records <br />disclosure requirements are not disclosed except as authorized by law for the duration of the <br />Term of this Agreement. <br />8 <br />
