28. TRANSFERENCE - It is the intent of the DISTRICT to issue this funding <br />assistance to the PROJECT SPONSOR who has made application for this assistance. In the event <br />the PROJECT SPONSOR transfers ownership or management of the PROJECT to a party or parties <br />not now a part of this AGREEMENT, other than another governmental entity that agrees to assume, <br />in writing, PROJECT SPONSOR'S obligation hereunder, the DISTRICT retains the right to full <br />reimbursement from the PROJECT SPONSOR to the full extent of the funding assistance provided <br />by the DISTRICT including, but not limited to, any costs and reasonable attorney's fees (regardless <br />of whether litigation ensues) incurred by the DISTRICT in collecting said reimbursement. <br />29. ENTIRE UNDERSTANDING - This AGREEMENT, including any exhibits made <br />a part hereof, embodies the entire AGREEMENT and understanding of the parties and supersedes <br />all prior oral and written communications between them.
