DocuSign Envelope ID: 4F49ED83-A0E8-4535-BBB4-F1419D233380 <br />Agreement # P0307 <br />T. CONFLICT OF INTEREST <br />This Agreement is subject to chapter 112, F.S.. Grantee shall disclose the name of any officer, <br />director, employee, or other agent who is also an employee of the State. Grantee shall also <br />disclose the name of any State employee who owns, directly or indirectly, more than a 5% interest <br />in Grantee or its affiliates. <br />U. GRANTEE AS INDEPENDENT CONTRACTOR <br />Grantee is at all times acting and performing as an independent contractor. DEO has no ability to <br />exercise any control or direction over the methods by which Grantee may perform its work and <br />functions, except as provided herein. Nothing in this Agreement may be understood to constitute <br />a partnership or joint venture between the Parties. <br />V. EMPLOYMENT ELIGIBILITY VERIFICATION — E -VERIFY <br />The Governor of Florida's Executive Order 11-116 requires DEO contracts in excess of a nominal <br />value to expressly Grantee to: (1) Utilize the U.S. Department of Homeland Security's E -Verify <br />system to verify the employment eligibility of all new employees Grantee hired during the <br />Agreement term; and (2) Include in all subcontracts under this Agreement the requirement that <br />subcontractors performing work or providing services pursuant to this Agreement utilize the E - <br />Verify system to verify the employment eligibility of all new employees subcontractor hired during <br />the term of the Subcontract. The Department of Homeland Security's E -Verify system can be <br />found at: <br />http://www.uscis.gov/e-verify <br />If the Grantee does not have an E -Verify MOU in effect, the Grantee must enroll in the E - <br />Verify system prior to hiring any new employee after the effective date of this Agreement. <br />W. NOTIFICATIONS OF INSTANCES OF FRAUD <br />Upon discovery, Grantee shall report all known or suspected instances of Grantee, or Grantee's <br />agents, contractors or employees, operational fraud or criminal activities to DEO's Agreement <br />Manager in writing within 24 chronological hours. <br />X. NON-DISCRIMINATION <br />Grantee shall not discriminate unlawfully against any individual employed in the performance of <br />this Agreement because of race, religion, color, sex, physical handicap unrelated to such person's <br />ability to engage in this work, national origin, ancestry, or age. Grantee shall provide a <br />harassment -free workplace, with any allegation of harassment to be given priority attention and <br />action. <br />Y. ASSIGNMENTS AND SUBCONTRACTS <br />1. Grantee shall not assign, subcontract, or otherwise transfer its rights, duties, or obligations <br />under this Agreement, by operation of law or otherwise, without the prior written consent of <br />DEO, which consent may be withheld in DEO's sole and absolute discretion.
