FIRST EXTENSION AND AMENDMENT TO AGREEMENT <br />FOR CUSTODIAL SERVICES <br />This First Extension and Amendment (First Extension) to that certain Agreement to provide <br />custodial services is entered into effective as of January 15, 2019 by and between Indian River County, a <br />political subdivision of the State of Florida ("County") and W&G Maintenance Corp ("Contractor"). <br />BACKGROUND RECITALS <br />WHEREAS, the County and the Contractor entered into an Agreement for Custodial Services effective <br />March 6, 2018, and amended on May 1, 2018; and <br />WHEREAS, Paragraph 4 of the Agreement contains the term and renewal provisions; and <br />WHEREAS, the first term commenced effective as of March 6, 2018 and will end on March 5, 2019; <br />and <br />WHEREAS, pursuant to the Agreement, the parties desire to extend the Agreement for an additional <br />one year period and add certain provisions to the Agreement; and <br />NOW, THEREFORE, in consideration of the foregoing, and other good and valuable consideration, <br />the receipt and sufficiency of which are hereby acknowledged, the County and the Contractor agree as <br />follows: <br />1. The background recitals are true and correct and form a material part of this First Extension. <br />2. The first renewal term shall commence effective March 6, 2019 and shall end on March 5, 2020; one <br />additional renewal term is available beyond this first renewal. <br />3. The following terms are added to the Agreement: <br />A. Contractor certifies that it and those related entities of Contractor as defined by Florida law are not on <br />the Scrutinized Companies that Boycott Israel List, created pursuant to s. 215.4725 of the Florida Statutes, <br />and are not engaged in a boycott of Israel. In addition, if this agreement is for goods or services of one <br />million dollars or more, Contractor certifies that it and those related entities of respondent as defined above <br />by Florida law are not on the Scrutinized Companies with Activities in Sudan List or the Scrutinized <br />Companies with Activities in the Iran Petroleum Energy Sector List, created pursuant to Section 215.473 <br />of the Florida Statutes and are not engaged in business operations in Cuba or Syria. <br />B. Owner may terminate this Contract if Contractor is found to have submitted a false certification as <br />provided under section 287.135(5), Florida Statutes, been placed on the Scrutinized Companies with <br />Activities in Sudan List or the Scrutinized Companies with Activities in the Iran Petroleum Energy Sector <br />List, or been engaged in business operations in Cuba or Syria, as defined by section 287.135, Florida <br />Statutes. <br />C. Owner may terminate this Contract if Contractor, including all wholly owned subsidiaries, majority- <br />owned subsidiaries, and parent companies that exist for the purpose of making profit, is found to have been <br />
