(F) There is no action, suit, investigation, or proceeding <br />pending or, to the County's knowledge and belief, threatened <br />against or affecting the County, at law or in equity or before any <br />federal, state, municipal, or other governmental department, <br />commission, board, bureau, agency or instrumentality, wherein any <br />decision, ruling or finding would adversely affect the transactions <br />contemplated hereby or which in any way would adversely affect the <br />validity of this Agreement or any other agreement or instrument to <br />which the County is a party and which is used or contemplated for <br />use in the consummation of the transactions contemplated hereby. <br />(G) The County has not dealt with any broker, salesman or <br />finder in connection with the transactions contemplated herein and <br />no sales commissions of finder's fees are due or payable as a <br />result hereof. <br />SECTION 2.02. REPRESENTATIONS OF THE CITY. The City makes <br />the following representations, which shall survive any closing <br />hereunder for a period of two years from the date of closing. <br />(A) The City is duly organized and validly existing as a <br />municipal corporation and body politic existing under the laws of <br />the State of Florida. <br />(B) The City has full power and authority to enter into the <br />transactions contemplated by this Agreement. <br />(C) The City has fulfilled and complied with the provisions <br />of Section 180.301, Florida Statutes, relative to the purchase and <br />sale of a water, sewer or wastewater reuse utility by a city, or <br />will do so prior to closing. <br />6 of 28 <br />Lz� <br />CD <br />CD <br />Co <br />N <br />
