board, bureau, agency or instrumentality, wherein any decision, <br />ruling or finding would adversely affect the transactions <br />contemplated hereby or which in any way would adversely affect the <br />validity of this Agreement or any other agreement or instrument to <br />which the City is a party and which is used or contemplated for use <br />in the consummation of the transactions contemplated hereby. <br />(G) The City has not dealt with any broker, salesman or <br />finder in connection with the transactions contemplated herein and <br />no sales commissions of finder's fees are due or payable as a <br />result hereof. <br />ARTICLE III <br />PURCHASE, SALE AND <br />TRANSFER OF SEBASTIAN UTILITY SYSTEM <br />SECTION 3.01. PURCHASE, SALE AND TRANSFER COVENANT. At <br />closing, the County shall purchase and the City shall sell, convey <br />and transfer the Sebastian Utility System to the County upon the <br />terms and subject to the conditions set forth in this Agreement. <br />SECTION 3.02. SEBASTIAN UTILITY SYSTEM. <br />(A) The Sebastian Utility System, shall include those assets, <br />business properties, and rights and obligations both tangible and <br />intangible, that the City acquired from the County in 1992, from <br />General Development Corporation in 1993, or acquired otherwise <br />which it now owns and uses exclusively in conjunction with the <br />operation of the City"s potable water supply, treatment, and <br />distribution system, and a wastewater collection, transmission, <br />treatment, and disposal and reuse system, or any such interest it <br />hereafter acquires, relating thereto, including the following: <br />8 of 28 <br />
