JOINT FIBER OPTICS PROJECT <br />INTERLOCAL AGREEMENT <br />This Joint Fiber Optics Project Interlocal Agreement (this "Agreement') is made this <br />day of , 1999, by and among the School District of Indian <br />River County ("School District'), Indian River County ("County") and the City of Vero Beach <br />("City") (collectively hereinafter referred to as "CONSORTIUM"); and <br />WITNESSES THAT: <br />WHEREAS, the individual members of the CONSORTIUM have recognized the need <br />for a fiber optics network ("NETWORK") joining their facilities throughout the City of Vero <br />Beach and Indian River County for the transmission of voice and data; and <br />WHEREAS, each entity has demonstrated needs for this NETWORK; and <br />WHEREAS, each entity has assets which can render the project cost-effective; and <br />WHEREAS, Section 163.01, Florida Statutes, permits cities, counties, and school <br />districts to enter into interlocal agreements to make the most efficient use of their powers for <br />the mutual advantage of all entities; and <br />WHEREAS, in recognizing these facts, the School District, County, and City desire to <br />enter into such an agreement which provides for the joint use of such NETWORK and <br />establishes policies for its use by each organization; <br />NOW, THEREFORE, in consideration of the mutual covenants herein contained and <br />for other good and valuable consideration, the parties agree to the following: <br />SECTION 1. Mission Statement <br />The purpose of this Agreement is to create a NETWORK that can be utilized for the mutual <br />benefit of the School District, County, and City to provide existing communications more cost- <br />effectively and/or new applications which are not currently possible without the development <br />of the NETWORK. <br />SECTION 2. Definitions <br />Auxiliary Routes — Those portions of the NETWORK owned and utilized by only one (1) or <br />two (2) members of the CONSORTIUM. <br />Demarcation Point — Location which defines where issues of maintenance responsibilities <br />begin and end, to be considered a point at or about thirty (30) centimeters outside the point at <br />which the service drop or other similar connection device enters the building or facility, or any <br />part thereof, owned, leased, operated, or occupied by a member of the CONSORTIUM. <br />Joint Fiber Optics Project - Interlocal Agreement <br />Page 1 of 18 <br />
