Bank has assumed certain risks by agreeing to provide you with the <br />Services. Accordingly, we may taketi ertain actions to mitigate our risk, <br />including termination of this Agreement, and holding and/or offsetting monies <br />otherwise payable to you (see Sections 19 and 20 oNhe General Terms & <br />Conditions). ,// <br />7. By executing this Agreementwith Bank you authorize us and our <br />Affiliates to obtain and share financial and -credit information regarding your <br />business and the,signers and guarantors of this Agreement until all your <br />obligations to us and our Affiliates are satisfied. <br />I. Your Discount Rates and other fees are calculated based on <br />transactions qualifying for certain program pricing and interchange <br />rates levied by the applicable Card Organization. Transactions that fail <br />to qualify for these rates will be charged an additional fee. Interchange <br />and program pricing levied by the Card Organization is subject to <br />change, (see Section 10 of the General Terms & Conditions). <br />2. We may debit your bank account (also referred to as your <br />Settlement Account) for amounts owed to us. <br />3. You are liable for Chargebacks and there are many reasons why <br />a Chargeback may occur. When they occur we will debit your <br />Settlement Account. See Section 12 of the General Terms & Conditions. <br />4. If you wish to dispute any charge or funding, you must notify us <br />within 15 days after the issuance of the relevant Settlement Account <br />statement, or within 45 days after the posting of the disputed debit or <br />credit entry, whichever comes first. <br />Information about Bank: <br />a) Your Bank, who is a Visa and MasterCard Member Bank, is TD <br />Bank, N.A. ("Bank"), 140 Mill Street, PO Box 1377, Lewiston, ME <br />04240 <br />b) Bank is the entity approved to extend acceptance of Visa, <br />MasterCard and Discover Cards directly to you. <br />c) Bank works with First Data Merchant Services LLC ("Processor") . <br />to provide the Card transaction, acceptance, processing and <br />settlement services to you. Processor may also provide certain <br />optional services, such as Clover, to you directly under a separate <br />agreement. Bank will bill you and you agree to pay.bank for all <br />Processor Provided Services. <br />Your Responsibilities: <br />a) You must comply in full at all times with this Agreement,'al1 Card <br />Organization Rules and all Cardholder and customer data security <br />and storage requirements. If you do not comply, with the PCI DSS-. <br />security requirements, you will'be charged a monthly PCI Non - <br />Compliance fee (see Section 10). <br />;b) If You terminate this agreement'before the end of the Initial Term or any <br />Extended Term, you will be obligated to pay Bank all monthly fees, whether <br />for maintenance, products, equipment, or otherwise for each month <br />remaining in the Initial Term or any Extended Term (see Section 19). <br />c) \You may view and download the current version of Your Payments <br />Acceptance Guide at haps://www.businesstrack.com upon Merchant <br />-Account approval. <br />d) You 'may view and download the current version of the Interchange <br />Qualification Matrix and American Express OptBlue® Guide at <br />haps://www.businesstrack.com upon Merchant Account approval. <br />e) You may download the current version of the Visa, MasterCard and <br />Discover rules at: <br />,/https://usa.visa.corn/support/merchant.html <br />http://www.mastercard.com/us/merchant/support/rules.html <br />haps://www.discovernetwork.com/en-us/ <br />f) For your account to stay operational, you must keep fraud and Chargeback <br />/ levels below Card Organization thresholds. <br />g) Please retain a signed copy of your Agreement for your records.
