and test the operability of the DRP during every 12 month period that the DRP is <br />fully operational, (c) certify to IRC at least twice during every 12 month period <br />that the DRP is fully operational and (d) implement the DRP upon the occurrence <br />of a Disaster. National shall use its best efforts to ensure that the DRP <br />incorporates industry standards and proven technologies in the planning and <br />recovery from disasters. National shall also define and implement regular <br />system backup and recovery procedures as set forth in the DRP. After approval <br />by IRC, the DRP shall be incorporated into Exhibit 1. <br />(2) National shall (a) notify IRC on or before the next business day after the <br />occurrence of a Disaster affecting the Services identified in Exhibit 1 (b) on or <br />before the fifth business day after the occurrence of such a Disaster either (i) <br />reinstate such Services or (ii) present to IRC a written plan for the reinstatement <br />of such Services and reinstate such Services on or before the twentieth business <br />day after the occurrence of such a Disaster. <br />(3) In the event of a Disaster, National shall not increase its charges under this <br />Agreement or charge IRC usage fees in addition to the Charges. <br />19.03 Termination. If a Disaster occurs and National is unable to provide the Services, and <br />IRC is unable to perform or receive the Services from a third -party service provider for a period <br />of 10 days or more, IRC may, in its sole discretion, terminate this Agreement or remove such <br />impacted Services from the scope of this Agreement. IRC will not be liable to National for any <br />early termination charges for any such termination. IRC's rights under this Section shall be <br />cumulative with all of its other rights and remedies under this Agreement. <br />ARTICLE 20. PAYMENTS TO NATIONAL <br />20.01 Charges. In consideration of National providing the Services, IRC shall pay to National <br />the Charges set forth in Exhibit 2. Except as expressly set forth in Exhibit 2, there shall be no <br />charges or fees payable by IRC in respect of National's performance of its obligations pursuant <br />to this Agreement. <br />20.02 Detailed Invoices. National shall provide to IRC's Accounts Payable Division invoices <br />with the detail described in Exhibit 2. <br />20.03 Progress Payments. IRC shall make progress payments to National on the basis of the <br />approved partial payment request as recommended by the IRC PM in accordance with the <br />provisions of the Local Government Prompt Payment Act, Florida Statutes Section 218.70 et. <br />seq. IRC shall retain ten percent (10%) of the payment amounts due to National until fifty <br />percent (50%) completion of the work. After fifty percent (50%) completion of the work is <br />attained as certified to IRC by the IRC PM in writing, IRC shall retain five percent (5%) of the <br />payment amount due to National until final completion and acceptance of all work to be <br />performed by National under the Contract Documents.
