or preventing the recurrence of any unauthorized possession, use or knowledge, <br />or attempt thereof, of Confidential Information; <br />(3) cooperate with the other Party in any litigation and investigation against third <br />parties reasonably deemed necessary by the other Party to protect its <br />proprietary rights; and <br />(4) promptly use its best efforts to prevent a recurrence of any such unauthorized <br />possession, use or knowledge, or attempt thereof, of Confidential Information. <br />22.04 No Implied Rights. Each Party's Confidential Information shall remain the property of <br />that Party. Unless otherwise expressly set forth in this Agreement, nothing herein shall be <br />construed as obligating a Party to disclose its Confidential Information to the other Party, or as <br />granting to or conferring on a Party, expressly or impliedly, any rights or license to the <br />Confidential Information of the other Party. <br />22.05 Return or Destruction of Confidential Information. As requested by IRC during the <br />Term, upon expiration or any termination of the Agreement, during the Termination Assistance <br />Period, or upon completion of National's obligations under this Agreement, National shall <br />return or destroy, as IRC may direct, all material in any medium that contains, refers to, or <br />relates to IRC's Confidential Information, and retain no copies. <br />Each Party shall bear the costs it incurs as a result of compliance with this Section. <br />22.06 Public Records Compliance. Indian River County is a public agency subject to Chapter <br />119, Florida Statutes. National shall comply with Florida's Public Records Law. Specifically, <br />National shall: <br />(1) Keep and maintain public records required by IRC to perform the service. <br />(2) Upon request from IRC's Custodian of Public Records, provide IRC with a copy of <br />the requested records or allow the records to be inspected or copied within a <br />reasonable time at a cost that does not exceed the cost provided in Chapter 119 or as <br />otherwise provided by law. <br />(3) Ensure that public records that are exempt or confidential and exempt from <br />public records disclosure requirements are not disclosed except as authorized by law for <br />the duration of the contract term and following completion of the contract if National <br />does not transfer the records to IRC. <br />(4) Upon completion of the contract, transfer, at no cost, to IRC all public records in <br />possession of National or keep and maintain public records required by IRC to perform <br />the service. If National transfers all public records to IRC upon completion of the <br />contract, National shall destroy any duplicate public records that are exempt or <br />confidential and exempt from public records disclosure requirements.
