This Agreement may be executed in any number of counterparts, each <br />of which will be deemed an original, but all of which taken together shall constitute one single <br />agreement between the Parties. <br />32.04 Relationship. The Parties intend to create an independent National relationship, and <br />nothing contained in this Agreement shall be construed to make either IRC or National <br />partners, joint venturers, principals, agents or employees of the other. No officer, director, <br />employee, agent, Affiliate or subcontractor retained by National to perform work on IRC's <br />behalf under this Agreement shall be deemed to be an employee, agent or subcontractor of IRC <br />Neither Party shall have any right, power or authority, express or implied, to bind the other. <br />32.05 Consents, Approvals and Requests. Except as specifically set forth in this Agreement, <br />all consents and approvals to be given by either Party under this Agreement shall not be <br />unreasonably withheld or delayed and each Party shall make only reasonable requests under <br />this Agreement. <br />32.06 Severability. If any provision of this Agreement is held by a court of competent <br />jurisdiction to be contrary to law, then the remaining provisions of this Agreement, if capable of <br />substantial performance, shall remain in full force and effect. <br />32.07 Waivers. No delay or omission by either Party to exercise any right or power it has <br />under this Agreement shall impair or be construed as a waiver of such right or power. A waiver <br />by any Party of any breach or covenant shall not be construed to be a waiver of any succeeding <br />breach or any other covenant. All waivers must be signed by the Party waiving its rights. <br />46 <br />
