EXHIBIT 1 -SERVICES <br />THIS DEPLOYMENT SERVICES STATEMENT OF WORK is subject to the terms and provisions, and is <br />made a part of that certain Agreement for Meter Deployment Services between Indian River <br />County and National Meter Services, Inc. dated , 2019 (the "Contract") by and <br />between Indian River County ("IRC") and National Metering Services, Inc. ("National"). Capitalized <br />terms used herein and not otherwise defined shall have the meaning ascribed to them in the <br />Contract. <br />This Exhibit 1 - Services, describes activities, roles and responsibilities of the Parties associated <br />with the planning, design, deployment, implementation, and testing of the AMR System within <br />Indian River County service territory and MDM Portal (collectively, the "AMR Solution"). <br />1. PROJECT OVERVIEW <br />The Parties desire to and will deploy the AMR Solution as an end-to-end functional system <br />comprised of AMR Water Meters and National's MDM Portal. The Parties will deploy the AMR <br />Solution in accordance with the schedule as documented in Deployment Schedule, and as may <br />be updated, in the Deployment Plan. National will collaborate with Indian River County <br />throughout deployment of the AMR Solution as outlined in this Deployment Services SOW. The <br />Parties will continue to work together in good faith to further define specific Deliverables and <br />timelines. <br />National will deploy approximately 34,000 meters across the service territory. IRC will purchase <br />all appropriate AMR Meters, check valves, lids, meter boxes, and risers, and National will provide <br />to IRC the Services as described in this Deployment Services SOW. <br />This Deployment Services SOW sets forth in detail the specific tasks and the Parties' respective <br />roles and responsibilities for those tasks. <br />2.
