"Deployment Schedule" shall mean the project schedule of activities as initiated in Exhibit 1
<br />Section 8 and to be completed and included in the Deployment Plan.
<br />"Designated National Service Location(s)" shall mean any National service location set forth in
<br />Exhibit 1
<br />"Disaster" shall mean an unanticipated incident or event, including Force Majeure Events,
<br />technological accidents, or human -caused events, that may cause a material service, critical
<br />application, manufacturing capability or capacity, or communications network to be unavailable
<br />without any reasonable prediction for resumption, or that causes data loss, property damage or
<br />other business interruption without any reasonable prediction for recovery, within such period
<br />as determined by IRC, in its sole discretion.
<br />"Dispute" shall mean any disagreement, argument or difference of opinion between (1) any of
<br />National and or of its respective Affiliates (collectively, the "National Parties") on one hand and
<br />(2) IRC and any of its respective Affiliates (collectively, the " IRC Parties") on the other hand as
<br />to (a) any matter, whether deemed material or not, directly or indirectly concerning or related
<br />to this Agreement, the Purchase Order or any Change Order (whether proposed, pending, or
<br />previously agreed to) or (b) any other matter that arises between or as to any of the National
<br />Parties and any of the IRC Parties at any time.
<br />"Dispute Notice" shall have the meaning set forth in Section 25.02(1).
<br />"Documents" shall have the mean any literary works or other works of authorship created
<br />under this Agreement, including deployment and installation plans, reports, training materials,
<br />data, documentation and information, in whatever form, produced or created by National for
<br />IRC in connection with the Services
<br />"DRP" shall have the meaning set forth in Section 19.02(1).
<br />"Effective Date" shall have the meaning set forth in the Preamble.
<br />"Equipment" shall mean deployment and installation tools, work management tools, data
<br />storage and management tools (including handheld devices), inventory tools for bar-coding and
<br />Radio-frequency Identification (RFID), vehicles, computers and related equipment, including
<br />processors, controllers, storage devices, networks, modems, routers, communications and
<br />telecommunications equipment (voice, data and video), cables, printers, terminals, other
<br />peripherals and input and output devices, transmitters and receivers, automated work order
<br />systems, test boards and other tangible mechanical and electronic equipment intended for the
<br />processing, input, output, storage, manipulation, communication, transmission, testing and
<br />retrieval of information and data.
<br />"FCC Rules and Regulations" shall have the meaning set forth in Section 23.02(8).
<br />"Force Majeure Event" shall have the meaning set forth in Section 19.01.
