"Rejected Meters" shall mean non -working or meters failing testing criteria <br />"Related Documentation" shall mean, with respect to National Processes, Software, Tools and <br />AMR Modules, all materials, documentation, specifications, technical manuals, user manuals, <br />flow diagrams, file descriptions and other written information that describes the function and <br />use of such National Processes, Software, Tools or AMR Modules, as applicable. <br />"Replaced Meters" shall mean the as found meter prior to National's installation of the AMR <br />meter as outlined in Services <br />"Return to Owner" means a non -Accessible Meter for which responsibility for installation has <br />been transferred from National to IRC as provided Exhibit 1. <br />"Route" shall mean a group of AMR Meters in the IRC territory identified in the Deployment <br />Plan as a "Route". <br />"Service Level Default" shall mean the failure of National to meet a Service Level. <br />"Service Level" shall mean the quantitative performance standards for the Services set forth in <br />Exhibit 5. <br />"Service Location(s)" shall mean any IRC Service Location or Designated National Service <br />Location, as applicable. <br />"Services" shall have the meaning set forth in Section 4.01. <br />"Software" shall mean the source code and object code versions of any applications programs, <br />operating system software, computer software languages, utilities, other computer programs <br />and Related Documentation, in whatever form or media, including the tangible media upon <br />which such applications programs, operating system software, computer software languages, <br />utilities, other computer programs and Related Documentation are recorded or printed, <br />together with all corrections, improvements, updates and releases thereof. <br />"Statement of Work" shall mean the description of activities, tasks, responsibilities and duties <br />of National set forth in Exhibit 1. <br />"Systems" shall mean any Equipment or Software comprising a Party's computing system, and <br />includes the IRC Computing Systems. <br />"Term" shall mean the Term of the project as set forth in Section 3.01. <br />"Termination Assistance Period" shall mean a period of time designated by IRC commencing on <br />the date a determination is made that there will be an expiration or termination of this <br />Agreement and continuing for up to 12 months after the expiration or termination of this <br />Agreement, during which National shall provide the Termination Assistance Services. <br />76 <br />
