2.1 Purchase Price, Effective Date. The purchase price ("Purchase Price") for the <br />Property shall be $17,500.00 (Seventeen Thousand and Five Hundred 00/100 Dollars) and <br />$5,500.00 (Five Thousand and Five Hundred 00/100 Dollars) forthe relocation ofthe fence <br />and gate. The Purchase Price of $23,000.00 shall be paid on the Closing Date. The <br />Effective Date of this Agreement shall be the date upon which the County shall have <br />approved the execution of this Agreement, either by approval by the Indian River County <br />Board of County Commissioners at a formal meeting of such Board or by the County <br />Administrator pursuant to his delegated authority. <br />2.2 The Seller agrees that the purchase price ("Purchase Price") of $23,000.00 will <br />cover all project impacts including relocation of the fence and gate, temporary construction <br />easement depicted on Exhibit "C" and other items. <br />2.3 The County will remove the existing drain pipe across 65th Street on the west side of <br />the property and install a new pipe and inlet across 651h Street at the location shown on <br />Exhibit "D" as SS -202C. <br />2.4 The County will install a drainage system in the County right-of-way in front of the <br />parcel. The design has been incorporated into the current construction plans for 66th <br />Avenue. See Exhibit "D". <br />2.5 The County will be responsible for removing and replacing two driveways within the <br />County right-of-way with concrete aprons and stormwater piping as shown in Exhibit "D". <br />2.6 The County will be responsible for constructing a drainage swale system on the <br />Sellers property as depicted on Exhibit "D". To include SS -202A and SS -202C. <br />2.7 The Seller will relocate the fence within 120 days of Closing <br />2.8 The County would be responsible for installing a culvert across the retention area for <br />access to the western gate. This will be a stabilized grass access point 14 -feet wide. <br />3. Title. Seller shall convey marketable title to the Property by warranty deed free of <br />claims, liens, easements and encumbrances of record or known to Seller; but subject to <br />property taxes for the year of Closing and covenants, restrictions and public utility <br />easements of record provided (a) there exists at Closing no violation of any of the <br />foregoing; and (b) none of the foregoing prevents County's intended use and development <br />of the Property ("Permitted Exceptions"). <br />3.1 County may order an Ownership and Encumbrance Report or Title Insurance <br />Commitment with respect to the Property. County shall within fifteen (15) days following <br />the Effective Date of this Agreement deliver written notice to Seller of title defects. Title <br />shall be deemed acceptable to County if (a) County fails to deliver notice of defects within <br />2 <br />
