Grantee shall provide a monthly Minority and Service -Disabled Veteran Business Enterprise <br />Report for each invoice period summarizing the participation of certified and non -certified <br />minority and service -disabled veteran subcontractors/material suppliers for that period, and <br />project to date. The report shall include the names, addresses and dollar amount of each <br />certified and non -certified Minority Business Enterprise and Service -Disabled Veteran <br />Enterprise participant and a copy must be forwarded to DEO's Agreement Manager. The <br />Office of Supplier Diversity at (850) 487-0915 will assist in furnishing names of qualified <br />minorities. DEO's Minority Coordinator at (850) 245-7471 will assist with questions and <br />answers. <br />7. DEO shall retain the right to reject any of Grantee's or subcontractor's employees whose <br />qualifications or performance, in DEO's judgment, are insufficient. <br />Z. ENTIRE AGREEMENT; SEVERABILITY <br />This Agreement, and the attachments and exhibits hereto, embodies the entire agreement of the <br />Parties with respect to the subject matter hereof. There are no provisions, terms, conditions, or <br />obligations other than those contained in this Agreement; and this Agreement supersedes all <br />previous communications, representations, or agreements, either verbal or written, between the <br />Parties. If a court of competent jurisdiction voids or holds unenforceable any provision of this <br />Agreement, then that provision shall be enforced only to the extent that it is not in violation of <br />law or is not otherwise unenforceable, and all other provisions shall remain in full force and effect. <br />This Agreement may be executed in counterparts, each of which shall be an original and all of <br />which shall constitute one and the same instrument. If any inconsistencies or conflict between <br />the language of this Agreement and its Attachments arise, then the language of the attachments <br />shall control, but only to the extent of the conflict or inconsistency. <br />AA. WAIVER; GOVERNING LAW; ATTORNEYS' FEES, DISPUTE RESOLUTION <br />1. Waiver. No waiver by DEO of any of provision herein shall be effective unless explicitly set <br />forth in writing and signed by DEO. No waiver by DEO may be construed as a waiver of any <br />failure, breach, or default not expressly identified by such written waiver, whether of a <br />similar or different character, and whether occurring before or after that waiver. No failure <br />by DEO to exercise, or delay in exercising, any right, remedy, power or privilege under this <br />Agreement may be construed as a waiver thereof; nor shall any single or partial exercise of <br />any right, remedy, power or privilege hereunder preclude any other or further exercise <br />thereof or the exercise of any other right, remedy, power or privilege. The rights and <br />remedies set forth herein are cumulative and not exclusive. <br />2. Governing Law. The laws of the State of Florida shall govern the construction, enforcement, <br />and interpretation of this Agreement, regardless of and without reference to whether any <br />applicable conflicts of laws principles may point to the application of the laws of another <br />jurisdiction. The Parties expressly consent to exclusive jurisdiction and venue in any state <br />court located in Leon County, Florida, and waive any defense of forum non conveniens, lack <br />of personal jurisdiction, or like defense. IN ANY LEGAL OR EQUITABLE ACTION BETWEEN THE <br />PARTIES, THE PARTIES HEREBY EXPRESSLY WAIVE TRIAL BY JURY TO THE FULLEST EXTENT <br />PERMITTED BY LAW. <br />Page 15 of 37 <br />Rev.5/30/19 <br />
