BICYCLE REPAIR STATION DONATION AGREEMENT <br />THIS AGREEMENT made this day of , 2020, by and between Indian <br />River County ("IRC"), whose point of contact is IRC, Parks and Conservation Resources Division, <br />5500 77th Street, Vero Beach, FL 32967, and Bike Walk Indian River County, Inc. (BWIRC) a <br />nonprofit 501(c)(3), whose contact address is Post Office Box 1792, Vero Beach, FL 32961. <br />IT IS THEREFORE, AGREED as follows: <br />1. BWIRC hereby donates to IRC a bicycle repair station for the use and enjoyment of the <br />citizens of, and visitors to, Indian River County. Such donation shall include installation <br />of the bicycle repair station by BWIRC. <br />2. IRC retains the sole discretion on any sponsorships or material wraps that are placed on <br />the bicycle repair station by BWIRC. BWIRC must submit requests to IRC for approval of <br />these items before placing them on the repair station. <br />3. For as long as the bicycle repair station remains serviceable, BWIRC agrees to maintain <br />and/or repair the bicycle repair station to IRC on an as -needed basis per the best practices <br />for this type of equipment. BWIRC shall include contact information for the public to <br />report any issues with the machine directly to BWIRC. <br />4. BWIRC agrees to maintain and/or replace the sponsorship wrap on the bicycle repair <br />station as—needed. <br />5.
