Agreement <br />THIS AGREEMENT is by and between INDIAN RIVER COUNTY, a Political Subdivision of the State of Florida <br />organized and existing under the Laws of the State of Florida, (hereinafter called County) and Ceres <br />Environmental Services, Inc. (hereinafter called CONTRACTOR). County and CONTRACTOR, in consideration <br />of the mutual covenants hereinafter set forth, agree as follows: <br />ARTICLE 1- WORK <br />CONTRACTOR shall complete all Work as specified or indicated in the Contract Documents. The Work is <br />generally described as follows: <br />Disaster Debris Removal and Disposal (PRIMARY) <br />ARTICLE 2 -THE PROJECT <br />The Project for which the Work under the Contract Documents may be the whole or only a part is generally <br />described as follows: <br />Project Name: Disaster Debris Removal and Disposal <br />RFP Number: 2020025 <br />Project Address: County -wide <br />ARTICLE 3 - CONTRACT TERM <br />The term of this agreement shall be two years with two two-year extensions available. <br />ARTICLE 4 - CONTRACT PRICE <br />County shall pay CONTRACTOR for completion of the Work an amount in current funds equal to the sum of <br />the amounts determined pursuant to work authorized and at the prices stated in CONTRACTOR's Proposal, <br />attached hereto as Exhibit 1. CPI rate increases will be implemented, as described in the RFP. <br />ARTICLE 5 - PAYMENT PROCEDURES <br />5.01 Progress Payments. <br />A. County shall make progress payments on account of the Contract Price on the basis of <br />CONTRACTOR's Applications for Payment at intervals not less than once each month during <br />performance of the Work as provided below. <br />1. Progress payments shall be for 90% of the work completed with 10% of the payment be <br />held as retainage. <br />B. Final Acceptance and Payment: When the work provided for under this contract has been <br />completed, in accordance with the terms thereof, a payment request in the amount of such work <br />including any retainage shall be prepared by the CONTRACTOR, and filed with the County within <br />fifteen days after the date of completion. <br />Page 1 of 12 <br />
