fees and amounts advanced by the County Association and the Clerk's <br />Association. <br />"Education Expenses" means any charges or expenses associated <br />with education and technical assistance, as set forth in section <br />4.20 hereof. <br />"Fiscal Year" shall mean the annual period beginning October 1 <br />of each year and ending September 30 of the following year unless <br />modified by the Trustees pursuant to Section 4.10 hereof. <br />"Information Statement" shall mean the information statement <br />or other descriptive document or documents adopted as such by the <br />Trustees and distributed by the Trust to Participants and potential <br />Participants of the Trust as the same may be amended by the <br />Trustees from time to time. <br />"Initial Participants" shall mean Brevard County, Hernando <br />County, Manatee County and Orange County, which are Public Entities <br />of the State and which, acting with respect to the surplus funds <br />of their respective treasuries, formed this Trust by the execution <br />and adoption of this Agreement. <br />"Initial Trustees" shall mean Robert L. Anderson, Scott I. <br />Cowan, Martha O. Haynie, Karen Nicolai, Richard B. Shore and Terry <br />R. Wood, as the initial Trustees of the Florida Counties Investment <br />Trust. <br />"Investment Advisor" shall mean the person or persons engaged <br />by the Trustees in accordance with the applicable provisions of <br />Section 5.01 hereof to perform the duties described in Section 5.02 <br />hereof. <br />"Investment Advisory Agreement" shall mean the agreement with <br />the Investment Advisor referred to in Section 5.02 hereof as the <br />same may be amended from time to time. <br />"Investment Fund" shall mean a trust fund established by the <br />Trustees pursuant to Section 4.02 hereof, to enable the <br />Participants to pool their surplus funds for joint investment in <br />accordance with the provisions of this Agreement. <br />"Net Asset Value" shall mean the aggregate value of Shares in <br />an Investment Fund, determined in accordance with Section 9.02 <br />hereof. <br />"Operating Expenses" means any charges or expenses which, in <br />the opinion of the Trustees, are necessary or incidental to or <br />proper for carrying out any of the purposes of this Agreement, <br />including appropriate compensation or fees to persons with whom the <br />Trust has contracted or transacted business. <br />
