800, St. Petersburg, Florida 33701, Attention: Public Finance <br />Department. <br />12. Parties in Interest. <br />(a) This Purchase Contract is made solely for the <br />benefit of the County and the Underwriter (including the <br />successors or assigns of the Underwriter) and no other person <br />shall acquire or have any right hereunder or by virtue hereof. <br />All of the representations, warranties and agreements of the <br />County contained in this Purchase Contract shall remain <br />operative and in full force and effect (but shall not be <br />deemed to be continuing representations, warranties and <br />agreements of the County), regardless of (i) any <br />investigations made by or on behalf of the Underwriter; <br />(ii) delivery of and payment for the Bonds pursuant to this <br />Purchase Contract; or (iii) any termination of this Purchase <br />Contract. <br />(b) No covenant, stipulation, obligation or agreement <br />contained in this Purchase Contract shall be deemed to be a <br />covenant, stipulation, obligation or agreement of any member, <br />agent or employee of the County in his individual capacity and <br />neither the members of the governing body of the County nor <br />any official executing this Purchase Contract shall be liable <br />personally under this Purchase Contract or be subject to any <br />personal liability or accountability by reason of the <br />execution hereof. <br />13. Effectiveness. This Purchase Contract shall become <br />effective upon the execution of the acceptance hereof on behalf of <br />the County by the Chairman and attestation by the Clerk, and shall <br />be valid and enforceable at the time of such acceptance. <br />14. Counterparts. This Purchase Contract may be executed in <br />several counterparts, which together shall constitute one and the <br />same instrument. <br />15. Florida Law Governs. The validity, interpretation and <br />performance of this Purchase Contract shall be governed by the laws <br />of the State of Florida. <br />16. Entire Agreement. This Purchase Contract when accepted <br />by the County in writing as heretofore specified shall constitute <br />the entire agreement between us. <br />-18- <br />
