<br />INDIAN RIVER COUNTY, FLORIDA

<br />KNOW ALL MEN BY THESE PRESENTS, that INDIAN RIVER COUNTY SOLID WASTE
<br />DISPOSAL DISTRICT, a special dependent district of Indian River County, Florida,
<br />operating by and through its Board of County Commissioners, having an address of 1801
<br />27th Street, Vero Beach, Florida 32960, hereinafter called GRANTOR, in consideration of value
<br />received, the receipt and sufficiency of which is hereby acknowledged, has and does hereby
<br />grant, bargain, sell, transfer, and deliver unto INDIAN RIVER COUNTY, a political subdivision of
<br />the State of Florida, whose address is 1801 27th Street, Vero Beach, FL 32960, hereinafter
<br />called GRANTEE, this 18th day of August, 2020, the following goods and chattels:
<br />EXHIBIT "A"ATTACHED HERETO AND MADE A PART HEREOF
<br />which utility facilities are associated with the Indian River County Landfill Segment 3 Cell 2
<br />Expansion, Segment 2 Partial Closure, and Landfill Gas System Expansion, which property is
<br />further identified as Tax Parcel No. 33-38-25-00001-0090-00001.0.
<br />TO HAVE AND TO HOLD the same unto GRANTEE forever, and GRANTOR hereby warrants
<br />to the GRANTEE that it has free and unencumbered title to the above-described facilities, and
<br />that the GRANTOR has full authority to make this conveyance and will warrant and defend the
<br />sale of said chattels and utility facilities hereby made unto GRANTEE against the lawful claims
<br />and demands of all persons whomsoever.
<br />Further, should the above described utility facilities associated with the Indian River County
<br />Landfill Segment 3 Cell 2 Expansion, Segment 2 Partial Closure, and Landfill Gas System
<br />Expansion fail or otherwise become defective during a one-year period from August 18, 2020 to
<br />August 18, 2021, due to defective materials or workmanship, said utility facilities are under
<br />warranty by GRANTOR'S contractor, Thalle Construction Co., Inc., by virtue of a Public
<br />Construction Bond (Bond No. 8246-25-61 issued by Federal Insurance Company and Bond No.
<br />015202963 issued by Liberty Mutual Insurance Company), said Public Construction Bond being
<br />recorded in Book 3111, Page 1023, of the Public Records of Indian River County, Florida.
<br />IN WITNESS WHEREOF, the GRANTOR has herein set its hand and seal the day and year first
<br />above written.
