except as shall have been remedied by a supplement or amendment pursuant to Paragraph 6(1) <br />below; <br />(1) If between the date of this Contract of Purchase and the date of the Closing <br />the County shall have knowledge of the occurrence of any event which might or would cause the <br />Official Statement, as then supplemented or amended, to contain any untrue statement of a material <br />fact or to omit to state a material fact necessary to make the statements therein, in the light of the <br />circumstances under which they were made, not misleading, the County shall notify the Underwriter <br />thereof, and, if in the opinion of the County such event requires the preparation and publication of <br />a supplement or amendment to the Official Statement, the County will at its expense supplement or <br />amend the Official Statement in a form and in a manner approved in writing by the Underwriter, <br />unless the Underwriter, in his discretion, elects to cancel his obligations under this Contract of <br />Purchase, pursuant to Paragraph 8(d)(v) below; <br />(m) The County hereby agrees, immediately after the Closing, to apply the <br />proceeds from the sale of the Bonds as specified in the Resolution and the Escrow Deposit <br />Agreement, and as more fully described in certificates to be delivered at the Closing; and <br />(n) The County has deemed final the Preliminary Official Statement within the <br />meaning of paragraph (b)(3) of SEC Rule 15c2-12 except for certain permitted omissions. <br />Any certificate signed by an authorized officer of the County delivered to the Underwriter <br />shall be deemed a representation and warranty by the County to the Underwriter as to the statements made <br />therein. <br />7. At 11:00 a.m., New York Time, on December 8, 1992, or at such other time or on <br />such other date as shall have been mutually agreed upon by the County and the Underwriter, the County <br />will deliver, or cause to be delivered, to the Underwriter the Bonds, duly executed in definitive form and <br />authenticated by Nationsbank Trust of Florida, N.A., Ft. Lauderdale, Florida, (the "Paying Agent and <br />Registrar% together with the other documents hereinafter mentioned, and the Underwriter, will accept such <br />delivery and pay the purchase price of the Bonds, plus accrued interest, by making a wive transfer to the <br />County or its designee in Federal Funds (such payment and delivery and the other actions contemplated <br />hereby to take place at the time of such payment and delivery herein referred to as the "Closing"). <br />Payment for the Bonds as aforesaid shall be made at the County Administration Building <br />or such other place as may be mutually agreed upon by the County and the Underwriter. The authenticated <br />Bonds shall be made available to the Underwriter and to The Depository Trust Company at least one <br />business day prior to the Closing for purposes of inspection. <br />8. The Underwriter has entered into this Contract of Purchase in reliance upon the <br />representations, warranties and agreements of the County contained herein and in reliance upon the <br />representations, warranties and agreements to be contained in the documents, opinions, instruments and <br />agreements to be delivered at the Closing and upon the performance by the County of its obligations <br />hereunder as of the date hereof and as of the date of the Closing. Accordingly, the Underwriter's obligations <br />under this Contract of Purchase to purchase, to accept delivery of and to pay for the Bonds shall be <br />conditioned upon and subject to (i) the performance by the County of its obligations to be performed <br />hereunder and under such documents, instruments and agreements to be delivered at the Closing, (u) the <br />accuracy of the representations and warranties of the County herein as of the date hereof and as of the time <br />of the Closing, and (iii) to the following additional conditions, including, without limitation, the delivery by <br />the County of such documents as are enumerated herein, in form and substance reasonably satisfactory to <br />the Underwriter: <br />-5- <br />
