Attachment 2 Re: Cell Site Name: TC West Vero Fixed Asset Number: 10032101 State: Florida County: Indian River AMENDED AND RESTATED MEMORANDUM OF LICENSE AGREEMENT This Amended and Restated Memorandum of License Agreement of the Elevated Water Tank Space License Agreement .is dated as of day of 2016, and is between Indian River County, a political subdivision of the State of ' Florida ("Licensor") and New Cingular Wireless PCS, LLC, a Delaware limited liability company successor by merger to BellSouth Mobility LLC, a Georgia. limited liability company, having a mailing address of 575 Morosgo Drive, Atlanta, GA 30324 ("Licensee"). 1. Licensor and Licensee entered into a certain Elevated Water Tank Space License Agreement dated March 23, 2004, as amended by that certain First Amendment to Elevated Water Tank Space License Agreement dated September 10, 2013, Second Amendment dated October 20, 2015, and Third Amendment dated 2016, for the purpose of installing, operating and maintaining a communications facility and'other improvements as described in Exhibit G attached hereto and made a part hereof, together with the improvements thereon ("Premises") and (ii) a Memorandum of License Agreement ("Memorandum") dated as of June 1, 2004 and filed for record on June 8, 2004, in the Official Records of Indian River County, Florida at Instrument No. 1549608, Book 1742, Page 2186 (the "Memorandum") which Memorandum provides record notice of the License Agreement as it applies to the Premises. It is the intention of the Licensor and Licensee to amend and restate the previous Memorandum of License Agreement dated June 1, 2004. 2. The initial lease term under the Agreement commenced on March 23, 2004 and expired on March 22, 2009, with three (3) additional five (5) year renewal terms, the first term of which.
