SECOND AMENDMENT TO INDIAN RIVER COUNTY <br />CARES ACT AGREEMENT <br />THIS SECOND AMENDMENT TO INDIAN RIVER COUNTY CARES ACT <br />AGREEMENT ("Amendment") is entered into as of the 5 day of TA YV-i -v , 2021 by <br />and between Indian River County, a political subdivision ofthe State of Florida, W-1fose address is <br />1801 27'h Street, Vero Beach, Florida, 32960 ("Recipient"), and United Way of Indian River <br />County, Inc. a Florida not-for-profit corporation, whose address is 1836 .14th Ave., Vero Beach, <br />FL 32960 (the "Subrecipient"). <br />RECITALS <br />WHEREAS, Recipient and Subrecipient entered into the Indian River. County CARES Act <br />Agreement, which set forth a scope of work for the use of CARES Act funds by the 'Subrecipient <br />(the "Agreement'); and <br />WHEREAS, the Recipient and Subrecipient amended the Agreement to increase the <br />funding in the Agreement from $975,000 to $1,675,500 and revise the initial scope of work to <br />reflect the uses of the additional funding; and <br />WHEREAS, the Recipient and Subrecipient wish to amend the Agreement to increase the <br />funding from $1,675,000 to $3,387,500 and to revise the scope of work to reflect the uses of the <br />additional funding; <br />NOW THEREFORE, in consideration of the mutual undertakings herein and other good <br />and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the ,parties <br />agree, as follows: <br />1. Recitals. The above recitals are true and correct and are incorporated herein. <br />2. ,Amendment of Section 18 Payments. Section 18 of the Agreement is stricken in its <br />entirety and replaced to read as follows: <br />"(18) PAYMENTS <br />a. The Recipient will make an initial disbursement to Subrecipient of up to <br />$1,675,000, which will be made in installments. The first $975,000 shall be <br />made in four separate disbursements of $243,750. The additional $700,000 will <br />be made in three separate disbursements of $233,333. <br />b. Of the additional $1,712,500, the Recipient will make five separate <br />disbursements of $342,500. Recipient will make an initial disbursement of <br />$342,500 to Subrecipient within 14 days of the final execution of the Second <br />Amendment to this Agreement. <br />c. In order to receive additional disbursements, the Subrecipient must file with the <br />Recipient Grant Manager its request for reimbursement along with <br />Page I of 3 <br />
