EXTENSION TO MEMORANDUM OF UNDERSTANDING <br />FOR ANIMAL SHELTER SERVICES <br />THIS EXTENSION TO MEMORANDUM OF UNDERSTANDING FOR ANIMAL <br />SHELTER SERVICES ("Extension") is entered into as of this 12 day of January , 2021, <br />by and between the Humane Society of Vero Beach & Indian River County, Florida, Inc. a <br />Florida not for profit corporation, whose address is 6230 771, Street, Vero Beach, Florida, 32967 <br />("Society") and the Board of County Commissioners of Indian River County, a political <br />subdivision of the State of Florida, whose address is 1801 271 Street, Vero Beach, Florida, 32960 <br />("County"). <br />BACKGROUND RECITALS <br />A. On March 17, 2020, Society and County entered into a Memorandum of <br />Understanding for Animal Shelter Services, which commenced on May 1, 2020 and <br />lasts for six months; and <br />B. The parties agreed to extend the Memorandum of Understanding for Animal Shelter <br />Services for an additional six months, until May 1, 2021; and <br />C. The parties wish to extend the Memorandum of Understanding for Animal Shelter <br />Services for an additional twelve months; <br />NOW THEREFORE, in accordance with the mutual covenants herein contained and <br />other good valuable consideration, the receipt and sufficiency of which are hereby <br />acknowledged, the parties agree as follows: <br />1. The above background recitals are true and correct and are incorporated herein. <br />2. The Memorandum of Understanding for Animal Shelter Services is extended until April <br />30, 2022. 1 <br />3. All other provisions of thel Memorandum of Understanding for Animal Shelter Services <br />shall remain in full force and effect except for the following: <br />Part 1.0 Scope of Services <br />I <br />Section 1.3 Compensation & Reports <br />a. The County shall pay � the Society a flat monthly fee of $39,000 for the services <br />described herein. <br />b. The Society agrees to provide the County with a monthly report of animals and/or <br />other services provided utilizing a form and format that is consistent with established <br />business practices utilized by the Society. The County agrees to provide the Society <br />with a monthly report of service calls listed by type, service area/location and final <br />Page I 1 <br />
