C. Ensure that public records that are exempt or confidential and exempt from public <br />records disclosure requirements are not disclosed except as authorized by law for the <br />duration of the contract term and following completion of the contract if the contractor <br />does not transfer the records to the County. <br />D. Upon completion of the contract, transfer, at no cost, to the County all public records <br />in possession of the Contractor or keep and maintain public records required by the <br />County to perform the service. If the Contractor transfers all public records to the <br />County upon completion of the contract, the Contractor shall destroy any duplicate <br />public records that are exempt or confidential and exempt from public records <br />disclosure requirements. If the contractor keeps and maintains public records upon <br />completion of the contract, the Contractor shall meet all applicable requirements for <br />retaining public records. All records stored electronically must be provided to the <br />County, upon request from the Custodian of Public Records, in a format that is <br />compatible with the information technology systems of the County. <br />E. Failure of the Contractor to comply with these requirements shall be a material breach <br />of this Agreement. <br />ARTICLE 10 —FEDERAL CLAUSES <br />10.01 OWNER and CONTRACTOR will adhere to the following, as applicable to this work: <br />A. Equal Employment Opportunity. During the performance of this contract, the contractor <br />agrees as follows: <br />(1) The contractor will not discriminate against any employee or applicant for <br />employment because of race, color, religion, sex, or national origin. The contractor <br />will take affirmative action to ensure that applicants are employed, and that <br />employees are treated during employment without regard to their race, color, <br />religion, sex, or national origin. Such action shall include, but not be limited to the <br />following: Employment, upgrading, demotion, or transfer; recruitment or recruitment <br />advertising; layoff or termination; rates of pay or other forms of compensation; and <br />selection for training, including apprenticeship. The contractor agrees to post in <br />conspicuous places, available to employees and applicants for employment, <br />notices to be provided setting forth the provisions of this nondiscrimination clause. <br />(2) The contractor will, in all solicitations or advertisements for employees placed by or <br />on behalf of the contractor, state that all qualified applicants will receive <br />considerations for employment without regard to race, color, religion, sex, or <br />national origin. <br />(3) The contractor will send to each labor union or representative of workers with which <br />he has a collective bargaining agreement or other contract or understanding, a <br />notice to be provided advising the said labor union or workers' representatives of <br />202 <br />
