AGREEMENT <br />THIS AGREEMENT is by and between INDIAN RIVER COUNTY, a Political Subdivision of the State of <br />Florida organized and existing under the Laws of the State of Florida, (hereinafter called COUNTY) and <br />Colliers International Florida, LLC (hereinafter called BROKER). COUNTY and <br />BROKER, in consideration of the mutual covenants hereinafter set forth, agree as follows: <br />SECTION I RECITALS <br />WHEREAS, BROKER is licensed in the State of Florida; and <br />WHEREAS, COUNTY wishes to contract with BROKER(s) to provide brokerage, marketing, advisory and <br />other associated services for the sale of properties owned by the County based on the terms and subject <br />to the conditions contained herein; and <br />WHEREAS, BROKER is qualified, willing and able to provide the Scope of Services and work for brokerage <br />services on the terms and conditions set forth herein; and <br />WHEREAS, COUNTY desires to enter into this Agreement with BROKER to perform the Scope of Services <br />and work / services as specified and, with a commission payment based on the sale or lease of said <br />properties as a percentage of the actual sale or rent amount as delineated in the schedule agreed upon <br />below. <br />NOW THEREFORE, in consideration of the premises and the mutual covenants herein name, the Parties <br />agree as follows: <br />The Recitals set forth above are hereby incorporated into this Agreement and made a part of hereof for <br />reference. <br />SECTION II NOTICES <br />All notices or other communications hereunder shall be in writing and shall be deemed duly given if <br />delivered in person, sent by certified mail with return receipt request, email or fax and addressed as <br />follows unless written notice of a change of address is given pursuant to the provisions of this <br />Agreement. <br />Firm/Broker: <br />Colliers International Florida, LLC <br />901 Northpoint Pkwy., Suite 109 <br />West Palm Beach, FL 33407 <br />Kenneth Krasnow <br />Vice Chairman, Institutional Investor Services <br />Email: Ken.Krasnow@colliers.com <br />
