Sample Agreement <br />THIS AGREEMENT is by and between INDIAN RIVER COUNTY, a Political Subdivision of the State of Florida <br />organized and existing under the.Laws of the State of Florida, (hereinafter called OWNER) and Summerlin's <br />Marine Construction, LLC (hereinafter called CONTRACTOR). OWNER and CONTRACTOR, in consideration <br />of the mutual covenants hereinafter set forth,.agree as follows: <br />ARTICLE 1 WORK <br />CONTRACTOR shall complete all Work as specified or indicated in the Contract Documents. The Work is <br />generally described as follows: <br />Final design and construction of a covered wetland overlook in the northeastern portion of the <br />Wabasso Scrub Conservation Area in accordance with St. Johns River Water Management District Permit <br />#155229-1. The overlook will extend from an existing trail approximately 40 feet into an existing wet <br />prairie. The overlook will be covered, and will provide bench seating for visitors to the site. <br />ARTICLE 2 - THE PROJECT <br />The Project for which the Work under the Contract Documents may be the whole or only a part is generally <br />described as follows: <br />Project Name: <br />Bid Number: <br />Project Address: <br />ARTICLE 3 - CONTRACT TIMES <br />3.01 Time of the Essence <br />Wabasso Scrub Conservation Area Wetland Overlook <br />2021001 <br />County Road 510, northwest of the intersection at 58th Avenue <br />A. All time limits for Milestones, if any, Substantial Completion, and completion and readiness for final <br />payment as stated in the specifications are of the essence of the Agreement. <br />3.02 Days to Achieve Substantial Completion, Final Completion and Final Payment <br />A. The Work will be completed and ready for final payment on or before the. 180th day after the date <br />when the Contract Times commence to run. <br />ARTICLE 4 - CONTRACT PRICE <br />4.01 OWNER shall pay CONTRACTOR for completion of the Work an amount in current funds equal to <br />the sum of the amounts determined pursuant to paragraph 4.01.A and summarized in paragraph <br />4.01.6, below: <br />A.
