only by the other party hereto, its successors and assigns, and are not made for <br />the benefit of, nor may they be relied upon, by any other person whatsoever. <br />9.6 Attorney's Fees and Costs. In any claim or controversy arising out of or <br />relating to this Agreement, each party shall bear its own attorney's fees, costs and <br />expenses. <br />9.7. Counterparts. This Agreement may be executed in two or more <br />counterparts, each one of which shall constitute an original. <br />9.8. District Approval Required: This Agreement is subject to approval by the <br />Indian River County Solid Waste Disposal District as set forth in paragraph 2. <br />9.9 Deed Restrictions. The following deed restrictions shall be recorded against <br />the property prior to recording the County Deed to MWI: <br />A) For a period of ten (`.0) years following the execution of this document, the <br />Property shall not be sold to any other party without the consent of the Indian <br />River County Solid Waste Disposal District. <br />B) For a period of ten (10) years following the execution of this document, the <br />District shall have a right of first refusal to purchase the property back from MWI <br />at the Purchase Price paid by MWI on the date of the sale of the Property. <br />C) For a period of ten (10) years following the execution of this document, MWI <br />covenants that it will occupy and use the Property for building and repairing <br />pumps and for the day to day operations of MWI, and for no other purposes. <br />D) For a period of ten (10) years following the execution of this document, MWI <br />shall not unify the title to the Property with any other property owned by MWI <br />without consent of the District. <br />SIGNATURES ON THE FOLLOWING PAGE <br />180 <br />
