AND SUBSIDIARIES <br />NOTES TO CONSOLIDATED FINANCIAL STATEMENTS <br />DECEMBER 31, 2020 <br />Note 1 - Nature of Operations and Principles of Consolidation <br />Business Activit <br />OHL USA, Inc. ("USA") and its wholly-owned subsidiaries Judlau Contracting, Inc. ("Judlau"), <br />Community Asphalt Corp. ("Community"), OHL Arellano Construction Company ("Arellano"), <br />and OHL Building, Inc. ("Building"), and its 50% -owned joint venture Tully-OHL Joint Venture, <br />LLC, referred to collectively as the "Company," is a wholly-owned subsidiary of Obrascon <br />Huarte Lain Construccion Internacional S.L.U. ("OHL Cl, SLU") a corporation organized under <br />the laws of Spain, which was incorporated under the laws of Delaware for the purpose of <br />engaging in general construction contracts. OHL Cl, SLU is a wholly-owned subsidiary of <br />Obrascon Huarte Lain, S.A. ("OHL S.A."), a corporation organized under the laws of Spain. All <br />USA projects are located throughout the 'United States of America. The Company's work is <br />normally performed under unit -price and fixed-price contracts, the lengths of which vary but <br />typically range from one to four years. <br />Judlau, its 99.9% -owned joint venture Waterworks, a Joint Venture ("Waterworks"), and its <br />70% -owned joint venture Judlau-TC Electric Joint Venture ("JTC JV"), referred to collectively <br />as "Judlau and JVs," serve as general contractors specializing in transportation projects such <br />as tunneling, subway station construction and rehabilitation, underground tunnel ventilation <br />and pumping facilities, elevated structure rehabilitation, and bridge and roadway <br />reconstruction for governmental owners. Judlau also specializes in underground utility work <br />such as water and sewer main replacement as well as reconstruction of various other utilities <br />such as electrical, communication, steam Ines and manholes. Judlau conducts these projects <br />in the States of New York, Connecticut, Maryland, Massachusetts, Virginia and Illinois. These <br />contracts are undertaken by the Company or in partnership with other contractors through <br />joint ventures. <br />Arellano was incorporated under the lays of the State of Florida in August 1994 for the <br />purpose of performing general construction contracts and supervision services. All projects <br />are located in the State of Florida and Aruba. <br />Building was incorporated under the laws of the State of Florida in May 1995 for the purpose <br />of performing general construction contracts and supervision services. All projects are located <br />in the State of Florida. <br />Community includes the activities of its wholly-owned subsidiaries, Sawgrass Rock Quarry, <br />Inc. ("Sawgrass") and CAC Vero I, LLC ("Vero"). Community is a Florida corporation and <br />operates as a contractor engaged in providing asphalt paving and other road and highway <br />construction services and as a miner, manufacturer, and seller of asphalt and asphalt -related <br />products. Substantially all construction projects are located in South and Central Florida. <br />Sawgrass is a Florida corporation that owns the land from which Community mines and <br />extracts aggregate materials for its operations. Vero is a Florida limited liability company and <br />owns an asphalt plant site. <br />W <br />
