FIRST EXTENSION AND AMENDMENT TO THE AGREEMENT FOR TRANSIT ADVERTISING <br />SERVICES <br />THIS FIRST EXTENSION and Amendment to the Agreement for Transit Advertising Services is <br />entered into this &'A day of January, 2022, by and between SUNUP ADVANTAGE LLC, ("CONTRACTOR") <br />and INDIAN RIVER COUNTY ("CLIENT"). <br />BACKGROUND RECITALS <br />WHEREAS, on February 5, 2019, CONTRACTOR and CLIENT entered into an Agreement for Transit <br />Advertising Services (the "Agreement"); and <br />WHEREAS, Article 6 of the Agreement provides for a three-year extension of the Agreement at the <br />end of the first three-year term; and <br />WHEREAS, in accordance with the Agreement, the parties desire to renew the Agreement by this First <br />Extension and amend Article 3 — Additional Contractor Responsibilities to include E -Verify requirements. <br />NOW, THEREFORE, in consideration of the mutual undertakings herein, and other good and valuable <br />consideration, the parties agree as follows: <br />1. The background recitals are true and correct and form a material part of this First Extension. <br />2. The Agreement for Transit Advertising Services is hereby extended from February 5, 2022 until <br />February 4, 2025. <br />3. Contractor must be registered with and use the Department of Homeland Security's E -Verify System <br />(e-verify.gov) to confirm the employment eligibility of all newly hired employees, as required by <br />Fla. Stat. §448.095 (2021). Contractor may not enter into a contract unless each party to the contract <br />registers with and uses the E -Verify system. Contractor is responsible for obtaining proof of E - <br />Verify registration for all subcontractors. This requirement applies to any provider of services or <br />goods. <br />4. All other provisions of the Agreement remain in full force and effect. <br />SIGNATURES ON THE FOLLOWING PAGE. <br />
