SMITH, CLERK <br />FWC Agreement No. 21255 <br />the requirements of 37 CFR Part 401, "Rights to Inventions Made by Nonprofit Organizations and <br />Small Business Firms Under Government Grants, Contracts and Cooperative Agreements," and <br />any implementing regulations issued by the awarding agency. <br />G. Energy Efficiency. Mandatory standards and policies relating to energy efficiency which are <br />contained in the State energy conservation plan issued in compliance with the Energy Policy and <br />Conservation Act (Pub. L. 94-163, 89 Stat. 871). <br />H. Debarment and Suspension Contractor Federal Certification. In accordance with Federal <br />Executive Order 12549 and 2 CFR Part 1400 regarding Debarment and Suspension, the Grantee <br />certifies that neither it, nor its principals, is presently debarred, suspended, proposed for debarment, <br />declared ineligible, or voluntarily excluded from participation in this transaction by any federal <br />department or agency; and, that the Grantee shall not knowingly enter into any lower tier contract, <br />or other covered transaction, with a person who is similarly debarred or suspended from <br />participating in this covered transaction. <br />I. Prohibition against Lobbying. <br />i. Grantee Certification — Payments to Influence. The Grantee certifies that no Federal <br />appropriated funds have been paid or will be paid, on or after December 22, 1989, by or <br />on behalf of the Grantee, to any person for influencing or attempting to influence an <br />officer or employee of an agency, a Member of Congress, an officer or employee of <br />Congress, or an employee of a Member of Congress, in connection with the awarding, <br />renewal, amending or modifying of any Federal contract, grant, or cooperative agreement. <br />The Grantee also certifies that they have not engaged any registrant under the Lobbying <br />Disclosure Act of 1995 who has made lobbying contacts on behalf of the Grantee with <br />respect to this Contract and its related federal contract, grant, loan, or cooperative <br />agreement; or, if the Grantee has engaged any registrant with respect to this Contract and <br />its related Federal contract, grant, loan, or cooperative agreement, the Grantee shall, prior <br />to or upon execution of this Contract, provide the Commission Contract Manager a signed <br />declaration listing the name of any said registrant. During the term of this Contract, and <br />at the end of each Calendar quarter in which any event occurs that materially affects the <br />accuracy of this certification or declaration, the Grantee shall file an updated declaration <br />with the Commission's Contract Manager. If any non-federal funds are used for lobbying <br />activities as described above in connection with this Contract, the Grantee shall submit <br />Standard Form -LLL, "Disclosure Form to Report Lobbying", and shall file quarterly <br />updates of any material changes. The Grantee shall require the language of this <br />certification to be included in all subcontracts, and all subcontractors shall certify and <br />disclose accordingly. <br />ii, Grantee — Refrain from Subcontracting with Certain Organizations. Pursuant to the <br />Lobbying Disclosure Act of 1995, the Grantee agrees to refrain from entering into any <br />subcontracts under this Contract with any organization described in Section 501(c)(4) of <br />the Internal Revenue Code of 1986, unless such organization warrants that it does not, <br />and will not, engage in lobbying activities prohibited by the Act as a special condition of <br />the subcontract. <br />J. Compliance with Office of Management and Budget Circulars.
