INDEMNIFICATION: TENANT agrees to indemnify and hold harmless <br />LANDLORD for any and all actions, claims, losses, and litigation including all costs and <br />attorney's fees, through trial and appeal, arising out of or connected in any way with <br />TENANT'S occupancy or use of the Leased Premises, except with respect to any <br />condition existing on the Leased Premises that is in LANDLORD'S sole control or <br />arising from LANDLORD'S willful misconduct or gross negligence. TENANT further <br />agrees to hold LANDLORD harmless for any loss, damage or destruction of any <br />personal property, fixtures or improvements within or on the Leased Premises. <br />10. INSURANCE: <br />(a) Commercial General Liability Insurance. TENANT shall procure, <br />maintain and pay for commercial general liability insurance providing all risks coverage <br />which protects the LANDLORD, the LANDLORD'S elected officials, employees, officers, <br />and agents, and TENANT, from claims arising from bodily injury, property damage, <br />operations, premises and fire legal liability. Such insurance coverage shall have a <br />combined single limit of not less than $1,000,000.00 per occurrence/$2,000,000.00 <br />aggregate. Coverage shall be provided in a form no more restrictive than the latest <br />edition of the commercial general liability policy filed by the Insurance Services Office. <br />TENANT's insurance shall be primary and any other insurance maintained by the City <br />shall be in excess of and shall not contribute with TENANT'S insurance. <br />(b) Property Insurance. During the full term of the Lease Agreement, at <br />TENANT'S sole cost and expense, TENANT shall provide, maintain, and pay for a <br />property insurance policy providing coverage of not less than 100% of the insurable <br />replacement value, without deduction for depreciation, for the demised premises of <br />which any buildings are a part, including any improvements and betterments which may <br />Page 10 of 38 <br />N:\Client Docs\Airport\Attachment B\2016.February.16.ATTACHM6NT B.docx <br />
