SMITH, CLERK <br />per year allocated to structures and improvements shall be adjusted to an amount equal <br />to ten percent (10%) of the appraised value of all structures and improvements existing <br />on the Leased Premises at the commencement of the renewal term. In no event shall <br />the rental rate be less than the rental rate set for the previous year of the Lease <br />Agreement. This rental adjustment shall continue in force for the duration of the <br />renewal term. The appraisal shall be performed by a state certified general real estate <br />appraiser agreed to by LANDLORD and TENANT. <br />3. ASSIGNMENT: TENANT shall not, either directly or indirectly by any means, <br />assign, sublease, hypothecate or transfer the Lease Agreement or any interest therein, <br />or any portion of the Leased Premises, including any improvements thereon, without the <br />express written consent of the LANDLORD. LANDLORD shall not unreasonably <br />withhold consent. However, any proposed assignee, sublessee, or transferee shall <br />meet all lease requirements for such assignment, subleases, or transfer. In no event <br />shall LANDLORD'S granting of consent to one or more assignments, subleases, <br />hypothecations, or transfers constitute a waiver of LANDLORD'S right to refuse consent <br />as to subsequent assignments, subleases, hypothecations, or transfers. This prohibition <br />against assigning or subletting shall be construed to include a prohibition against any <br />assignment or subletting by operation of law, without the express written consent of the <br />LANDLORD. TENANT agrees that use of the Leased Premises or any portion thereof <br />by any subtenants, suboperators, or submanagement shall not diminish in any way <br />rents due LANDLORD from TENANT. If this Lease Agreement is assigned, or if the <br />Leased Premises or any part thereof is sublet or occupied by anybody other than <br />TENANT, with or without LANDLORD'S consent, LANDLORD may collect rent directly <br />from such assignee, sub -lessee or occupant, and apply the net amount collected to the <br />Page 5 of 38 <br />N:\Client Docs\Airport\Attachment B\2016.February.16.ATTACHMENT B.docx <br />
