860520 <br />11.2.2016 <br />24.2 Scope of Arbitrator's Authority. The arbitrator shall also have the sole authority to resolve any <br />and all issues over the arbitrability of any Claim, or any other issues relating to the enforceability and <br />application of this arbitration process to any claim, including the applicability of any statute of limitations, and <br />shall decide any and all other issues relating to the use of this arbitration process by the Parties as the <br />exclusive means to resolve any and all Claims between them. <br />24.3 Waiver of Jury Trial, The Parties voluntarily and knowingly acknowledge their <br />understanding that under this provision for arbitration they are waiving (i.e., giving up) their right to <br />bring a law suit in a court of law and to have a judge and a trial by a jury to resolve any of the Claims <br />between them. <br />24.4 Costs of Arbitration. Each Party shall bear its own costs for attorneys' fees, experts, and all other <br />costs and expenses for proceeding to arbitration and any related court actions. The Parties shall equally bear <br />the costs of the arbitration process and the arbitratcr. The arbitration shall occur in Union County, New Jersey. <br />25. GENERAL PROVISIONS <br />25.1 Notice. This Agreement shall be governed and construed in accordance <br />with the laws of the state of New Jersev without retard to its conflicts of law principles and Clarity and Client <br />agree to the exclusive jurisdiction of the State Courts of New Jersey, except with respect to those issues <br />for which arbitration is required pursuant to Section 23 hereof. <br />25.3 Further Instruments. At any time, and from time to time, Clarity and Client shall, without further <br />consideration, and at their own expense, take such further actions and execute and deliver such further instruments as <br />may be reasonably necessary to effectuate the purposes of this Agreement. <br />25.4 Entire Agreement.
