Any violation or breach of the duties and obligations imposed by the LEASE and incorporated <br />documents and the rights and remedies on the part of LESSEE may result in the suspension or <br />termination of this LEASE or such other action that may be necessary to enforce the rights of the <br />parties to this LEASE. <br />LESSOR will provide LESSEE written Notice, describing the nature of the breach and any <br />corrective actions LESSEE must undertake, and shall include a reasonable date by which to correct <br />the breach. The duties and obligations imposed by the LEASE and the rights and remedies available <br />thereunder are in addition to, and not a limitation of, any duties, obligations, rights and remedies <br />otherwise imposed or available by law. <br />Section 12.4. Time. <br />Time is of the essence in the performance of this LEASE. <br />Section 12.5. Governing Law; Forum Selection and Venue. <br />This LEASE shall become valid when approved by LESSOR's City Council and the Board of <br />County Commissioners, Vero Beach, Florida; it will be deemed made and entered into in the state of <br />Florida and will be governed by and construed in accordance with the laws of Florida. In the event <br />that that there is a change in ARFF Index under Part 139 as determined by the City, the City shall be <br />responsible for any additional necessary training costs required by such change. In the event of a <br />dispute between the parties, all actions or proceedings will be brought and litigated exclusively in the <br />state courts located in Indian River County or in the federal courts located in St. Lucie County, <br />Florida. <br />Section 12.6.
