FIRST EXTENSION AND SECOND AMENDMENT TO AGREEMENT <br />FOR LIFT STATION REHABILITATION SERVICES <br />This First Extension and Second Amendment to that certain Agreement to provide Lift <br />Station Rehabilitation Services is entered into effective as of May 17, 2022 by and between Indian River <br />County, a political subdivision of the State of Florida ("County") and Hinterland Group, Inc. <br />("Contractor"). <br />BACKGROUND RECITALS <br />WHEREAS, the County and the Contractor entered into an Agreement for Lift Station Rehabilitation <br />Services effective June 4, 2019; and <br />WHEREAS, the Term; Duration of Agreement Paragraph contains the term and renewal provisions; <br />and <br />WHEREAS, the first term commenced effective as of June 4, 2019 and will end on June 3, 2022; and <br />WHEREAS, pursuant to the Agreement, the parties desire to extend the Agreement for an additional <br />two-year period; and <br />WHEREAS, the parties desire to amend the Responsibilities of the Contractor section to include E - <br />Verify and Scrutinized Companies requirements; and <br />WHEREAS, the parties desire to update requirements to the Federal Clauses section, in accordance <br />with 2 C.F.R.; and <br />WHEREAS, the parties have agreed to updated pricing, based on the U.S. Department of Labor's <br />Consumer Pricing Index. <br />NOW, THEREFORE, in consideration of the foregoing, and other good and valuable consideration, <br />the receipt and sufficiency of which are hereby acknowledged, the County and the Contractor agree as <br />follows: <br />1. The background recitals are true and correct and form a material part of this First Extension. <br />2. The first renewal term shall commence effective June 4, 2022 and shall end on June 3, 2024. There <br />are no additional renewals available. <br />3. The following information was added to the Responsibilities of the Contractor Section of the <br />agreement: <br />Contractor is registered with and will use the Department of Homeland Security's E -Verify system <br />(www.e-verif�gov) to confirm the employment eligibility of all newly hired employees for the duration <br />of this agreement, as required by Section 448.095, F. S. Contractor is also responsible for obtaining proof <br />of E -Verify registration and utilization for all subcontractors. <br />18 <br />
