Perez <br />Government Affairs Manager <br />WM of Indian River County <br />4310 77" St. <br />Vero Beach, FL 32968 <br />772.413.9997 Office <br />407.466.4079 Cell <br />DPerez@wm.com <br />May 9, 2022 <br />Mr. Himanshu Mehta, P.E. <br />IRCSWDD Managing Director <br />Indian River County <br />1325 741h Ave. SW <br />Vero Beach, FL 32968 <br />Subject: Agreement to Remove Roll Off Exclusivity & Renew Government Facilities Recycling Contract <br />Dear Mr. Mehta: <br />Please accept this letter as a response to your email dated April 22, 2022 referencing the IRC Government <br />Buildings and Facilities Recycling Contract dated January 9, 2018 (the "Facilities Recycling Contract"). <br />Waste Management Inc. of Florida ("WMIF") would be amenable to renewing the Facilities Recycling <br />Contract for a 3 -year period under the same terms, in exchange for the removal of roll off work from the <br />exclusivity requirement of the parties' Solid Waste and Recyclables Collection Franchise Agreement <br />dated April 21, 2015 (the "Franchise Agreement"). <br />Specifically, the parties agree that Article 3.1.(c.) of the Franchise Agreement which states: "C&D <br />collection in containers fifteen cubic yards and greater (>15 CY) in size in the Solid Waste Franchise <br />Area" shall be deleted from the Franchise Agreement. In exchange, the Facilities Recycling Contract will <br />be extended as set forth above. <br />It is our understanding that the steps to accomplish this change to the Franchise Agreement will be as <br />follows: <br />1. The Board of County Commissioners will have to approve the removal of Article 3.1(c.). <br />2. Two public hearings will be held to change the existing ordinance. <br />We understand the estimated time frame to complete the above process could be anywhere from 2 — 3 <br />months. The Facilities Agreement expires on 9/30/2022. If the process to change the Franchise <br />Agreement, including amending the existing ordinance, has not been accomplished by the 9/30/22 <br />deadline then WMIF will only consent to a 6 -month extension of the Facilities Recycling Contract. <br />Please keep in mind that the 2022-2023 CPI calculation for the Facilities Recycling Contract would go into <br />effect on 10/01/2022 pursuant to the existing terms, which would entail a max 3% increase to the current <br />rate. <br />Please let me know if you have any questions. <br />Thank you. <br />-7-4s- <br />Debbie Perez <br />Government Affairs Manager <br />156 <br />
