Board of County Commissioners of <br />Indian River County, Florida, et al. <br />, 1987 <br />Page 6 <br />instrument relating to any of the foregoing to which the <br />Borrower is a party (the "Borrower Documents"). The Borrower <br />has taken all action necessary to be taken by it for the <br />execution, delivery and performance of the Borrower Documents. <br />On the date hereof, this Bond Purchase Agreement has been, and <br />on the date of Closing each of Borrower Documents will have <br />been, duly authorized, executed and delivered by the Borrower <br />and each of the Borrower Documents constitutes the legal, valid <br />and binding obligation of Borrower enforceable in accordance <br />with its terms. <br />(c) The execution and delivery of Borrower Documents <br />by the Borrower, the compliance with the terms, conditions and <br />provisions hereof and thereof and the consummation of the <br />transactions herein and therein contemplated by the Borrower do <br />not and will not violate any law or any regulation, order, <br />writ, injunction or decree of any court, governmental body, <br />agency or other public instrumentality, or result in a breach <br />in any of the terms, conditions or provisions of, or constitute <br />a default under or result in the creation or imposition of any <br />mortgage, lien, charge or encumbrance of any nature whatsoever <br />upon any of the properties or assets of the Borrower pursuant <br />to the terms of the Borrower's articles of incorporation, <br />bylaws or any mortgage, indenture, agreement or instrument to <br />which Borrower is a party or by which Borrower or any of its <br />properties is bound. <br />(d) All authorizations, consents and approvals of, <br />notices to, registrations or filings with, or actions in <br />respect of any governmental body, agency or other public <br />instrumentality or court required in connection with the <br />execution, delivery and performance by Borrower of Borrower <br />Documents have been obtained, given or taken and all are in <br />full force and effect, provided that no representation is made <br />with respect to compliance with the securities or "blue sky" <br />laws of any state. <br />(e) There is no action,. suit, proceeding, inquiry or <br />investigation before or by any court, public board or body <br />pending or, to the knowledge of Borrower, threatened against or <br />affecting Borrower or any of its properties except such as has <br />been disclosed in writing to the Underwriter. <br />(f) The Borrower hereby confirms to the Underwriter <br />the representations and warranties made by Borrower in Section <br />5 of the Reimbursement Agreement, all of which, for such <br />purpose, are hereby incorporated herein by reference. <br />(g) The Borrower has not taken or omitted to take and <br />the Borrower will not take or omit to take, any action that <br />4330x:10/23/87 <br />3002-353 <br />
